Can resellers sell Modo Subscription? • Resellers will be able to purchase annual paid-in-advance subscriptions on behalf of their customers. • All purchasing will be done through our sales team. • Reseller margin for subscription will be 10 points less than standard perpetual licenses e.g. If application margin is 30%, subscription margin will be 20%. • Will not be available on launch date, target date to take reseller orders is May 2nd, 2017. Can resellers sell maintenance for Modo? • Resellers will be able to purchase both new licenses (including maintenance) and separate maintenance to add to a license, and handle maintenance renewals on behalf of their customers. • All purchasing will be done through our sales team. • Reseller margin for licenses & maintenance will be our standard structure (i.e. same as Nuke, Mari etc) • If customers wish to access RLM licensing, these orders can be processed from launch date. If you want RLM licenses, please make it clear on your order so it will be processed now and not queued. • If the customer wishes to purchase login-based licenses, we are aiming to be able to process these orders on May 2nd , 2017. How do we provide login-based licensing? Order process • All sales will need to be transacted through our order team (no online orders). • Order processed as standard with upfront margin same as perm & rental. • All subscriptions will be auto-renewal (process for renewal & opt-out will be sent out at launch). • Standard cancellation policies apply – If customer wants refund within 14 days, they must cancel in their online account first before approaching you for refund. We shall then confirm the cancellation and issue a credit note. Licenses will be provided as activation keys • Order team will provide an activation key to pass to customer. • Customer activates entitlement into their online account on our website. • Customer gets access to online subscription account management services.

What does Subscription & Maintenance include? As long as a customer is on Subscription, they will be entitled to: • Access to the latest version of Modo • Access to any software updates during their Subscription term • Access to email and telephone support • Access beta projects and exclusive technology previews

What happens if they cancel Subscription? If a customer lets their Subscription lapse: • They will cease to be able to use the version of software to which they subscribed • The product will no longer work • They no longer will have access to support, technology previews and other exclusive benefits • If they previously owned a perpetual license, they have rights to use that version in perpetuity • To start Subscription again they will be charged $599

What happens if they cancel Maintenance? If a customer lets their Maintenance lapse: • The product will no longer update with newer releases and bug fixes • They no longer will have access to support, technology previews and other exclusive benefits • They will have rights to use the last version updated while current with maintenance, in perpetuity • The product as is will continue to work. • To start Maintenance again they will be charged the regular maintenance price, currently $599

Cancelation policy 0 to 14 days = Cancel • Refunds the initial payment • Stops the subscription license use immediately • No more payments are charged +14 days = Stop Auto-renewal • No refund occurs • Usage of the software continues until the end of the current subscription contract period • No additional money will be charged • No renewal of a new subscription term • In the case of monthly subscription money would continue to be still taken monthly until the end of contract term (12 monthly payments)

What does Subscription & Maintenance include? As long as a customer is on Subscription, they will be entitled to: • Access to the latest version of Modo • Access to any software updates during their Subscription term • Access to email and telephone support • Access beta projects and exclusive technology previews

What happens if they cancel Subscription? If a customer lets their Subscription lapse: • They will cease to be able to use the version of software to which they subscribed • The product will no longer work • They no longer will have access to support, technology previews and other exclusive benefits • If they previously owned a perpetual license, they have rights to use that version in perpetuity • To start Subscription again they will be charged $599

What happens if they cancel Maintenance? If a customer lets their Maintenance lapse: • The product will no longer update with newer releases and bug fixes • They no longer will have access to support, technology previews and other exclusive benefits • They will have rights to use the last version updated while current with maintenance, in perpetuity • The product as is will continue to work. • To start Maintenance again they will be charged the regular maintenance price, currently $599

Cancelation policy 0 to 14 days = Cancel • Refunds the initial payment • Stops the subscription license use immediately • No more payments are charged +14 days = Stop Auto-renewal • No refund occurs • Usage of the software continues until the end of the current subscription contract period • No additional money will be charged • No renewal of a new subscription term • In the case of monthly subscription money would continue to be still taken monthly until the end of contract term (12 monthly payments)

Extended bundle: • The Modo extended bundle will no longer be available for purchase online as of Proteus phase II go-live (Jan 26, 2017). • An internal, channel may continue to submit orders for approx 30-days following this announcement. Collectives: • Subscription will not be made available for Collectives in 2017 • Perpetual and maintenance renewal licenses of Collectives will continue to be available for purchase • Modo subscription customers will not be able to upgrade from subscription to Collectives Modo indie: • Modo indie will continue to be sold as usual on Steam Strictly Confidential
How to buy multiple licenses of Modo? All multi-seat sales will need to be transacted through our direct sales team Three options will be available for these situations: • 5 seats assigned to a single login that the customer shares with the team • 5 seats assigned to individual logins that are tracked as an account within salesforce only • 5 seats installed as a floating RLM license server There will NOT be a master user account to control switching, adding and removing of users until later in 2017
