SIGNS WILL BE POSTED! MANNER OF SALE: This real estate will be offered as a “MULTI-PARCEL” auction in 8 tracts and combination of tracts. Due to the various ownership of the properties, combinations of tracts will be limited. The land will be sold in the manner that produces the highest aggregate bid. There will be OPEN BIDDING on all tracts and combination of tracts as determined by the auction company. Auction procedure and increments of bidding are at the discretion of the auction company. TERMS: 10% down day of sale, with the balance to be paid on or before December 15, 2010, or upon such terms as may be acceptable to the Sellers. Personal and corporate checks are acceptable for the down payment with the final payment to be made in certified funds. All funds will be held by the auction company in their trust account or by an identified title/escrow company. Bidding is not contingent upon financing. Financing, if necessary, needs to be arranged and approved prior to the auction. Bids on Tracts 4 & 5 are subject to Seller confirmation. Announcements made day of sale take precedence over printed material and previously made oral statements. MINERAL RIGHTS: TRACTS 1, 2, 3 & 4: Mineral rights and production on Tracts 1 and 2 will be offered as Tracts 3 and 4. TRACTS 5 & 6: Seller will retain ½ of the mineral rights for a term of 10 years, with said reservation to be fully participating in lease monies, delay rentals, bonuses, and royalties. TRACTS 7 & 8: Seller will retain 100% of the mineral rights for a term of 15 years, with said reservation to be non-participating in lease monies, delay rentals, and bonuses, but fully participating in royalties. CROPS: TRACTS 1, 2, 3, 4, 6 & 8: There are no growing crops. TRACT 5: Buyer will receive the landlord’s 1/3rd share of the 2011 wheat. TRACT 7: There are approximately 25.8 acres planted to wheat. Buyer can pay the tenant for actual input costs and receive possession at closing, OR Buyer can take the landlord’s 1/3rd share of the crop and pay 1/3rd of the fertilizer expense. FSA INFORMATION: See chart on back for base acreages and yields TRACTS 1 & 2: Buyer(s) will receive 100% of all FSA payments associated with 2011 crop year. TRACT 5: Buyer will receive the landlord’s 1/3rdshare of all FSA wheat payments and 100% of all FSA feed grain payments associated with the 2011 crop year. Buyer will reimburse tenant for the landlord’s 1/3rd share of the fertilizer expense on the 2011 wheat crop. TRACT 7: FSA payments will follow the crop. CLOSING: Closing will be on or before December 15, 2010. POSSESSION: TRACTS 1, 2, 3 & 4: Date of closing. TRACTS 5, 6, 7 & 8: Date of closing, subject to the tenant’s rights. REAL ESTATE TAXES: Sellers will pay taxes for 2010 and prior years. Taxes for the year 2011 will be the responsibility of the Buyer(s).
