TERMS AND CONDITIONS PROCEDURE The properties will be offered in 10 tracts and 3 combinations. Tracts 1, 2, 3 offered as a combination, Tracts 5, 6, 7 offered as a combination, and Tracts 8, 9 offered as a combination. A combination bid will only be accepted if it meets or exceeds the reserve. DOWN PAYMENT A ten percent (10%) down payment on the day of the auction will be required upon signing a purchase agreement immediately following the close of bidding. All funds will be held by The Land Office LLC Trust Account. The down payment may be paid in the form of personal check, business check, or cashier check. The remainder of the purchase price is payable in certified funds at closing. Your bidding is not conditional upon financing. BUYER’S PREMIUM A 4% Buyer’s Premium will be added to the winning bid price to arrive at the total contract price paid by the Buyer. BROKER PARTICIPATION A 2% broker participation will be paid to any properly licensed broker who registers a successful buyer according to The Land Office Auction Participation Guidelines. Registration forms are available from The Land Office LLC. ACCEPTANCE OF BID PRICES All successful bidders will sign a purchase agreement at the auction site immediately following the close of bidding. CLOSING Closing date shall be on or before March 26, 2014.
MINERAL RIGHTS Minerals have been reserved on Tracts 1 thru 7 and will not transfer. Seller’s mineral interest, if any, on Tracts 8, 9, 10 shall transfer to Buyer. The Sellers, The Land Office LLC, and the title insurance company do not warrant or insure mineral rights. WATER RIGHTS There are no developed water rights. WIND RIGHTS Wind rights have not been severed. SURVEY In the event Tracts 1, 2, 3, or Tracts 5, 6, 7, or Tracts 8, 9 sell separately the Seller will provide a survey sufficient to convey title and provide title insurance. Cost of the survey will be paid by the Seller. Tracts with existing legal descriptions will not be surveyed. TITLE Seller shall provide Title Insurance to the Buyer in the amount of the purchase price with the premium to be split 50/50 Seller/Buyer. Title evidence will be provided on day of sale. Buyer may close as soon as closing documents are prepared or not later than March 26, 2014. REAL ESTATE TAXES The Seller shall pay real estate taxes for the calendar year 2013 and all previous years. The real estate taxes for 2014 shall be prorated to the date of closing. All taxes thereafter shall be the responsibility of the Buyer. CRP PAYMENTS Tract 10. Buyer shall receive 100% of the CRP payment for the period 10/01/2013 to 09/30/2014 and all subsequent payments for the duration of the contract ending 09/30/2021.
FSA In the event Tracts 1, 2, 3, or Tracts 5, 6, 7, or Tracts 8, 9 sell separately, FSA base and yields will be split as determined by the FSA. POSSESSION Tracts 1, 2, 3 are subject to a 5 year cash lease. Tract 4 immediate following triticale harvest or crop failure whichever occurs first. Tract 5 immediate upon closing. Tracts 6 and 7 immediate following wheat harvest or crop failure whichever occurs first. Tracts 8, 9, and 10 immediate upon closing. INSPECTIONS Each bidder is responsible for conducting their independent inspections and due diligence concerning pertinent facts about the property. The Sellers, The Land Office LLC, its agents, or representatives make no warranties about the property, either expressed or implied. EASEMENTS This sale is subject to all rights-of-way and easements, whether recorded or not, and to any oil and gas leases of record. ACREAGES Bidding shall be based on rounded assessed acres. Acreage figures are considered to be approximate and are from reliable sources. FSA acreages are from current FSA data. No warranty is expressed or implied as to exact acreages of property.
