2013 Ladies Night Out New Location! The Leavenworth Times is pleased to host the 9th annual Ladies Night Out event held in Leavenworth! The event will be held at the Warren Middle School, 3501 New Lawrence Road- Leavenworth, KS, from 5 – 8 p.m. on January 19, 2013. This event provides the unique opportunity for businesses to sell merchandise as well as gain visibility among area shoppers while also contributing to a worthwhile cause, the Alliance Against Family Violence of Leavenworth. Last year, The Leavenworth Times raised more than $3,000 with the help of vendors, participants and the silent auction. The Ladies Night Out event in 2013 will again be raising funds for this local organization. Vendors desiring to participate in the event must complete and return the registration form to Tammy Lawson, Leavenworth Times, 422 Seneca St., Leavenworth, KS 66048 or FAX to (913) 682-1114. Registration forms must be received prior to Jan. 8, 2013. To create a diverse shopping experience for attendees, no more than 2 vendor booth spaces will be given to equivalent vendor companies. Vendor space cannot be held or saved without the full payment. Please see attached sheets for further information. 2013 LADIES NIGHT OUT VENDOR AGREEMENT 
 (The 2013 Ladies Night Out registration form MUST accompany the agreement)

EVENT RULES, REGULATIONS, TERMS AND CONDITIONS These rules, regulations, terms and conditions have been established for the mutual benefit and protection of exhibitors, visitors and GateHouse Media Kansas Holdings, Inc. d/b/a The Leavenworth Times (“The Leavenworth Times”). These rules, regulations, terms and conditions along with any additions or changes are an integral part of the contract to which the exhibitor agrees. 1. EVENT - 2013 Annual Ladies Night Out to benefit The Alliance Against Family Violence 2. EVENT DATE – Saturday, January 19, 2013 3. EVENT HOURS - 5:00 p.m. until 8:00 p.m. 4. EVENT LOCATION – Warren Middle School, 3501 New Lawrence Road, Leavenworth, KS 5. MOVE-IN – On Saturday, January 19, 2013, 10 a.m. to 4:00 p.m. (event starts at 5 p.m.). All vendors must be checked into the event by 2:30 p.m. and all vendor booths MUST be completely set up no later than 4 p.m. 6. MOVE-OUT – The event ends at 8:00 p.m. on Saturday, January 19, 2013. All exhibitors MUST BE out of the facility no later than 9:30 p.m. or you will be charged $50.00 per ½ hour for security fees. 7. PAYMENT – Full payment is due by January 8, 2013. Spaces will not be reserved and set up will not be allowed until payment in full has been made. Credit cards will be accepted via telephone or on the registration form. Please note discounted rates if paid by November 15, 2012. 8. EXHIBITOR PRODUCTS / SERVICES – The Leavenworth Times reserves the right to determine the eligibility of any services or products for display. Exhibitors, representatives, and/or distributors must list their products/services under “Business type” on the contract. 9. REJECTION OF EXHIBITORS – The Leavenworth Times reserves the right to reject any application for event space at any time and reserves the right to regain possession of any space by refunding to the applicant or exhibitor the amount paid for the space. 10. ASSIGNMENT OF SPACE – Exhibitor booth space dimensions are an approximation. Actual dimensions may vary from the advertised 10’ x 10’ space. The Leavenworth Times reserves the right to allocate space in the best interests of the Leavenworth Times and the event. 11. SUB-LEASING – Exhibitors are allowed to share booth spaces but may not permit others to use their space or any part thereof without prior permission by The Leavenworth Times. 12. REFUNDS – No refunds will be made if space is not used or used for only part of the time. Space rental is NOT refundable. 13. P.A., AUDIO-VISUAL AND OTHER EQUIPMENT – The use of audio-visual or electrical equipment or any type of public address system is limited to that which in the opinion of The Leavenworth Times does not adversely affect neighboring exhibits or the event. 14. CANCELLATION OF EVENT – If the Facility should be destroyed, damaged or otherwise rendered unusable or if a strike, act of government or any other unforeseen event makes it nearly impossible to conduct the event, The Leavenworth Times is released from any and all claims that might arise as a consequence thereof. In any event of circumstance not caused by The Leavenworth Times that prevents an exhibitor from erecting or staffing their exhibit for all or any part of the event period, the contractual responsibility between exhibitor and The Leavenworth Times shall be considered to be satisfied and there shall be no refund to the exhibitor. 15. COMPLIANCE WITH LAWS AND REGULATIONS – Exhibitor agrees to obey all laws, ordinances and regulations governing the use of the facility and to abide by the rules and regulations of the Leavenworth Fire and Police Departments. All decorative materials used in displays must meet the flame proofing regulations of the

Leavenworth Fire Department. 16. LIABILITY; INDEMNIFICATION – Liability for loss, theft, property damage or destruction and personal injury: (a) Exhibitor hereby waives any and all claims against The Leavenworth Times, their employees, agents or representatives resulting from loss, theft, damage or destruction to its property or for personal injuries to it, its agents, and/or employees. (b) Exhibitor, at its own expense, will indemnify, defend, and hold harmless The Leavenworth Times and its affiliates and assignees, and their directors, officers, employees and agents, with respect to any third-party claim, loss, demand, cause of action, debt or liability, including reasonable attorneys’ fees (collectively, “Claims”), arising out of or related to: (i) exhibitor’s installation, removal, maintenance, occupancy or use of the exhibition premises; (ii) any breach or alleged breach of its obligations or representations under this Agreement; or (iii) any willful, intentional or negligent action or failure by exhibitor, its employees or agents. (c) Exhibitor takes full and complete responsibility for any damage that may occur when moving exhibit material in or out of the facility, or destruction of property, or injury to its agents or representatives for any and all claims arising from exhibiting. (d) Any damage to facility through carelessness of exhibitor, their employees or agents must be paid by the exhibitor causing damage. 17. STATE AND CITY TAX PERMITS – Kansas State Sales Tax and Leavenworth City tax permits are required of all exhibitors making retail sales at the event. Call the Kansas Department of Revenue at (785) 368-8222 if you do not know if you need a Sales Tax Permit. The Leavenworth city tax rate is 8.3%. 18. INSURANCE – Exhibitor represents and warrants to The Leavenworth Times that exhibitor, at all times during the term of this agreement, and all persons working under exhibitor’s direction and control, will have and maintain a valid insurance policy issued by an insurance company licenses to do business in Kansas and with limits no less than the minimum amount allowable by Kansas law. Said insurance policy shall include, but not be limited to: (i) fire and liability insurance covering trade shows and fairs (to insure their goods and exhibits against damage and loss or personal injury); and (ii) coverage for any negligent acts committed by exhibitor and exhibitor’s authorized agents while performing under this agreement.
