2TouchPOS Licensing Policy 2TouchPOS is licensed per terminal per location. The first license granted to a business creates a location license. The location license grants use of one or more 2TouchPOS licenses at that physical address.
Business Evolution We expect and allow for the gradual transition of a location over time and provide the following procedures to accommodate change. Increasing or Decreasing the 2TouchPOS License Count at a Location Individual licenses can be added to or removed from a location license. New licenses are subject to current pricing. Adding licenses grants you a new 2TouchPOS license at the version level currently running at the location. Removing licenses is free. Removing a license deactivates the license. Deactivated licenses cannot be reactivated or reclaimed. Business Vertical Change The current licensee is welcome to change their business vertical. For example, they could cease doing business as a pizza shop and reopen as a bar. This is to enable to licensee to provide a more suitable service at their present location. There is no license transfer for a change of business. Relocation Relocation allows for a business to move locally to a better suited location. Common reasons are the need for more or less square footage or a more visible location. The licensee can relocate the business and take the location license in whole to the new location. The licensee must preserve the business persona including the business name and business type. The relocation must be local. A change of location form is required to update the contact and billing information for the account. Sale of Business The current licensee can transfer the location license to a new licensee so long as the location does not change and the business persona (including the business name and business type) is preserved.

A change of owner form is required to update the contact and billing information for the account. Under these circumstances, the new licensee assumes liability for outstanding charges to the account. Advisory Transferring equipment or licensing to a new owner under any other circumstances is prohibited. Equipment purchased from any source does not include the rights to use or transfer the 2TouchPOS software or location license. New licensing must be obtained through Xenios or one of its authorized dealers.
Multi Location License Transfers The licensee management can transfer licenses from one location license to another location license for a fee. All location licenses must be managed by the licensee management. The licensee management must complete a license transfer form.
Business Expansion A location license is established with the purchase of a single license at regular price. Once a new location license is established, the licensee management can transfer licenses from an existing location license to the newly established location license. Expired Licenses Licenses that have been deactivated cannot be transferred or reactivated. Licenses are automatically deactivated when a location closes or stops using 2TouchPOS.
Modules are Not Transferrable 2TouchPOS modules such as credit cards are predominantly not transferrable from one location to another. Modules will transfer when the business relocates or is sold as described in the business evolution provisions.
Interpretation and Final Approval Xenios will provide interpretation of any licensing policy and final approval of any license transfer.
