Regular Meeting & Retreat Minutes of the NATIONAL JOINT POWERS ALLIANCE® Board of Directors Tuesday, November 18, 2014 Executive Conference Room Chair Wolden called the Regular Board meeting to order at 6:07 p.m. with the following members present: Brian Lehman, Mike Wilson, Wayne Wolden, Randy Pepin, Scott Veronen, Mary Freeman, and Barb Neprud. Also present were Chad Coauette, Susan Nanik, Paul Drange, Diana Pihlaja, Michael Brandt, and Deb Cervantez, NJPA staff. Mr. Wilson moved, seconded by Mr. Veronen to accept the agenda as amended. Motion carried. Ms. Neprud moved, seconded by Mr. Pepin to accept the minutes of the Regular Board Meeting held on October 21, 2014. Motion carried. Mr. Brandt gave an in-service on his position and responsibilities as the Controller at NJPA. Ms. Pihlaja presented the monthly Financial Reports. Mr. Hajek phoned in from Canada to give a report on the Contracts and Marketing department. Updates were given on AAMDC in Canada, ezIQC in the state of New York, the Coalition of Cooperatives, CDWG, and the Zones contract. Mr. Pepin moved, seconded by Mr. Wilson to approve the check register and Treasurer’s Report of Cash, Revenues, and Expenditures and to pay all vendor disbursements #82998 to #83337. Motion carried. Mr. Pepin moved, seconded by Mr. Veronen to approve all Wire Transfers #111 to #141. Motion carried. Mr. Drange reported on Regional Programs. Updates were given on a planning and zoning position, waste water treatment, leadership training, Regional Solutions newsletter, iObservation training, Gifted and Talented network, student art gallery, and the Education Solutions newsletter. Dr. Coauette presented a final draft of the revenue share agreements tracking document. Dr. Coauette discussed board succession planning. Ms. Nanik gave a staffing update. Mr. Wolden moved, seconded by Ms. Neprud to approve the planning and zoning position description with a revision of the title and open the position. Motion carried. Dr. Coauette reported on the Coalition of Cooperative Purchasing, MSC, AAMDC, and facilities. Ms. Neprud reported on the GiANT Leadership Training that she attended. Ms. Freeman moved, seconded by Mr. Pepin to adjourn the meeting at 8:40 p.m. Motion carried.
