PROJECT DESCRIPTION The Central City Line (CCL) will be a new six-mile route between Browne’s Addition and Spokane Community College, connecting through Downtown Spokane, the University District and Gonzaga University. The project is the Spokane region’s response to a community desire for a streetcar and a circulator in the urban core. The vehicle will be a modern, rubber-tired, battery electric vehicle with zero-emissions, rechargeable through inductive or conductive charging.

ECONOMIC IMPACT The CCL will be scaled appropriately to meet the needs of Spokane’s regional population which is projected to grow by nearly 165,000 by 2040. Approximately 68,000 new jobs are expected for the region in the same time frame.* The CCL will improve mobility by connecting urban neighborhoods to major destinations and moving more people without more cars. It is a major part of the High Performance Transit Network, a new standard for transit service quality, frequency and ease of use. The CCL will have many of the benefits of a streetcar or light rail in terms of potential economic development, but at a significantly lower cost. Conceptual Central City Line Shelter

In addition to the growth in ridership and a positive economic impact, the CCL will include other benefits like significant streetscape and road improvements, distinctly branded and permanent stations, and innovative electric charging infrastructure. Combined, these elements provide a sense of permanence that indicates a long-term commitment to mobility and economic development along the corridor. Additionally, the CCL’s zero emissions propulsion system will provide an ongoing environmental benefit through cleaner air and quieter buses.

CENTRAL CITY LINE STEERING COMMITTEE DRAFT INTERIM RULES OF PROCEDURE RULE 1 - GENERAL PRINCIPLES Rule 1.1

PURPOSE

It is the purpose of the Central City Line Steering Committee (the “Steering Committee”) in adopting these rules to provide a method for the conduct of its affairs. It is not intended that these rules confer upon any person who is not a member of the Steering Committee any right to a particular procedure or affect the validity or legality of any Steering Committee action.

Rule 1.2

ROBERT’S RULES OF ORDER

Matters of procedure not otherwise provided for herein shall, insofar as practical, be determined by reference to the most recent edition of Roberts Rules of Order, Newly Revised. Rule 1.3

SUSPENSIONS OR AMENDMENT

These rules, or any of them, may be amended or temporarily suspended by a majority vote of the Steering Committee members in attendance at a meeting. RULE 2 - MEMBERSHIP Rule 2.1

COMPOSITION

The Membership of the Steering Committee shall be as outlined in City of Spokane Resolution Number 2015-0104 and Spokane Transit Authority Resolution Number 736-15. RULE 3 - MEETINGS Rule 3.1

MEETINGS

a. The Steering Committee shall annually establish and publish a regular meeting schedule and the Chair may call special meetings at such times and places as are necessary to fulfill its responsibilities. b. All Steering Committee meetings are open to the public in accordance with the requirements of Chapter 42.30 RCW (Open Public Meetings Act or Act), except those portions of meetings for which executive session is authorized under the Act. Rule 3.2 QUORUM A quorum is defined as fifty percent (50%) of the Steering Committee members, plus one (1) member. An abstention does not affect a quorum.

a. Time for general public comment will be reserved at the beginning of each meeting. Individuals will be asked to limit their comments to three minutes. At the discretion of the Chair, public comments may be received on specific agenda items. b. Any meeting may be adjourned by majority vote or declaration by the Chair, to a specific place and time. Unless otherwise specified in the motion, the meeting will be adjourned to the place and time of the next scheduled meeting. If a meeting is adjourned, all matters on the agenda not disposed of at that meeting or deferred to a specific meeting date, shall be continued to the next regular meeting. RULE 4 - AGENDA Rule 4.1

FUNCTIONS OF AGENDA

The agenda serves to introduce items to the Steering Committee to establish the order of business and to give notice to the public. Rule 4.2

PREPARATION OF AGENDA

The agenda for all meetings of the Steering Committee shall be prepared by the Chair.

RULE 5 - TIME AND NOTICE

Notices of all meetings shall comply with applicable Washington state statutes. Copies of the agendas and minutes of all meetings shall be posted on the Spokane Transit Authority website (www.spokanetransit.com).

RULE 6 - VOTING Rule 6.1

VOTING RIGHTS

All members (including the Chair) are voting members. Voting shall be by ayes and nays unless a show of hands is called for by the Chair. The Chair shall declare whether the motion carried or failed and the vote count. Any Steering Committee member may explain the reasons for his or her vote as a matter of privilege. Minutes shall record the number of members for and against and the names of any members abstaining. a. The specific wording of the motion shall be recorded in the minutes as it was proposed before the vote. b. The Steering Committee shall endeavor to give explanations of their reasons for support and non-support of an action during their discussion of the item or as part of the motion thereon.

The Chair may appoint and establish sub-committees composed of members and non-members to carry out the functions of the Steering Committee. RULE 8 - OFFICERS Rule 8.1

OFFICERS The Steering Committee shall select by majority vote the Steering Committee Chair and

Vice-chair.

b. Officers will be elected for a one (1) year term, with eligibility for election to an additional one-year term. The Vice-Chair may become the Chair upon completion of the Chair’s term or vacation for any reason. In the instance the Chair vacates his/her position, and the Vice Chair takes it over, the Vice Chair may serve out the remainder of the Chair’s term and remains eligible to serve an additional term as Chair. c. The Planning Director of Spokane Transit Authority or his or her designee shall serve as the secretary to the Steering Committee. This secretary is an ex-officio, non-voting position whose presence at a meeting does not count toward establishment of a quorum of the Committee. Rule 8.2

THE CHAIR

The duties and powers of the Chair include the following: a.

To conduct meetings.

b. To see that the purpose and functions of the Steering Committee are progressively achieved in an objective, efficient, and expeditious manner. c. To preserve order and decorum and enforce these rules of procedure, including adjournment of any meeting where, in his/her judgment, the order is such as to prevent a proper consideration of business. d. attention. e.

To present to the Steering Committee such matters as, in his or her judgment, require

To prescribe and change the order of business in accordance with all applicable statutes.

f. To prepare and sign all official recommendations or documents on behalf of the Steering Committee and to report and explain the Steering Committee findings to the Spokane City Council and Spokane Transit Board of Directors. To represent the Steering Committee in correspondence, meetings and news releases. g. To direct the ayes and nays to be taken in vote and entered on the record on any request before the Steering Committee and to vote on all matters. h.

To designate a spokesperson for the Steering Committee when necessary.

i. To delegate to the Vice Chair such portions of the Chair’s responsibilities and authorities as the Chair deems prudent. j. To rule on procedure where no direct rule has been adopted by the Steering Committee, under the guidance, where possible, of the most recent edition of Robert’s Rules of Order, Newly Revised. k. The Chair may make or second any motion, and may present and discuss any matter as a member of the Steering Committee, and shall be entitled to vote on all matters.

Rule 8.3

THE VICE CHAIR’S DUTIES

The Vice Chair shall assume the duties of the Chair in the Chair’s absence. Rule 8.4

TECHNICAL AND STAFF SUPPORT

The Planning Director of Spokane Transit Authority or his/her designee shall provide technical and staff for the Steering Committee as follows: a.

To attend all meetings of the Steering Committee.

b. To act as the professional advisor to the Steering Committee on all matters and function, and participate in discussion of actions and motions before the Steering Committee. c. To assure that any and all reports and documents bearing the Steering Committee’s name are properly prepared. d. Committee.

To coordinate staff to provide technical and administrative assistance to the Steering

e. To keep a true and accurate record in substance of the proceedings of the Steering Committee, and to have charge and to act as custodian of all Steering Committees documents, records, minutes and papers in accordance with applicable state laws. g.

To assist the Chair in Steering Committee duties.

h. To prepare agenda, schedule business, and distribute notices, as the Chair directs and as required by state law.

RULE 9 - RECORDS, PUBLICATIONS AND REPORTS a. The secretary prepares official minutes of the meetings containing the actions of the Steering Committee and a substantive account of the proceedings. The minutes of all meetings shall be approved by the Steering Committee, signed by the Secretary and placed on public record at Spokane Transit Authority.

b. Any documents, maps, charts or other material presented to the Steering Committee along with Steering Committee briefing packets shall be stored at Spokane Transit Authority and are public record. c. Meetings of the Steering Committee shall be recorded and made public record. Recordings will not normally be transcribed, except by request of the Spokane City Council, Spokane Transit Board of Directors, Chair, City or Authority Attorney or the Secretary. RULE 10 - CODE OF CONDUCT a. It is the constant duty of each Steering Committee member to maintain respect for each other, the staff and the public. Likewise, the Steering Committee shall require respectful behavior from all persons who attend a meeting. b. It shall be the obligation of every Steering Committee member to be familiar with the facts in order to reach an informed and independent judgment regarding the matter at hand. To discuss or vote on a matter heard at a meeting from which a member was absent, said member shall have familiarized himself with the subject matter, using the file of record of the Secretary’s minutes of the tape of the hearing. Such familiarization shall be confined to the official files and referenced documents produced. c. While any member has a right to express personal views and opinions pursuant to our Constitutional guarantees of freedom of speech, statements purporting to represent the view or pronouncements of the Steering Committee shall not be made in advance of the Steering Committee’s final determination of the matter. d. Steering Committee members may speak in their individual capacities, provided the speaker makes clear whether he or she is speaking in his or her individual capacity, or in his or her capacity as a member of the Steering Committee articulating their own views and concerns. e. Steering Committee members shall not engage in any personal business transaction in which the fact of membership on the Steering Committee or any knowledge of its actions which are obtained due to membership on the Steering Committee would be qualification for such employment or a significant reason for the personal business transaction. f. Steering Committee members shall not accept gifts from anyone concerned with matters which have been or might come before the Steering Committee. Well-intended acceptance of such gifts could lead to misconceptions by prospective donors or the public. g. Members of the Steering Committee shall fully comply with Chapter 42.23 RCW (Code of Ethics for Municipal Officers), Chapter 42.30 RCW (Open Public Meetings Act), and such other rules and regulations as may be adopted by the City Council (SMC Chapter 01.04 Code of Ethics) regulating the conduct of any person holding appointive office within the City. h. When a Steering Committee member concludes that a matter before the Steering Committee involves or may create a conflict of interest on the Steering Committee member’s part, he or she shall notify the Chair immediately and shall abstain from consideration of the matter, which notification is to be recorded by the Secretary. 5 of 6 Central City Line Steering Committee Draft Interim Rules of Procedure
