The City of Buda is seeking proposals from qualified respondents to lease or purchase former City of Buda offices located at 100 Houston Street, Buda, TX. The goal of the Request for Proposals (RFP) is to enter into a long term lease with a business, group, non-profit, developer, or property management group which provides the best overall proposal to renovate, reuse, and maintain the former city offices as a private use facility. The City intends to enter into an agreement with the respondent with the highest and best overall proposal permitted by market and business plan that aligns with the City’s Downtown Master Plan and overall vision for downtown Buda. 2. ABOUT BUDA The City of Buda, located just south of Austin and north of San Antonio along the IH-35 corridor, was established in 1881 when the International and Great Northern Railroad constructed a line and depot. Buda’s historic downtown buildings date back to the late 1890s. The City was officially incorporated in 1948. The population of Buda has steadily grown over the last 20 years, increasing from 1,795 in 1990 to an estimated 17,000 today in the city limits and over 30,000 in the zip code. With over 120% population growth since 2000, Buda has been named one of the fastest growing cities in the State of Texas, and Hays County has been named one of the fastest growing counties in the country. Buda is located in the Central Texas Region and is within the Austin-Round Rock Metropolitan Statistical Area (MSA). Buda’s location between Austin and San Antonio has made it a popular location for residential and business growth. The community boasts a high quality of life with natural beauty as the community is nestled along the edge of the Edwards Plateau and the Texas Hill Country to the west and the vast plains to the east. Century old Live Oaks are prominent throughout the community. Buda preserves the natural beauty with an abundance of parkland and was named the “Outdoor Capitol of Texas” by the State of Texas Legislature. Buda was named as a Texas Main Street City in 2017 through the Texas Historical Commission. 3. PROPERTY DESCRIPTION A. Legal Description –

The approximately 7,500 square foot facility previously served as city office space for the City of Buda Police Department and the Engineering and Planning Departments. Prior to this use, the facility was a sign shop and hardware store. The two-story building includes approximately 5,500 square feet of usable office space. The upstairs portion of the facility, approximately 2,000 square feet, was last utilized as a private residence. No utilities are active on the second story. The site itself is approximately 0.45 acres and is surrounded by Houston Street to the south, Railroad Street to the east, and Rose Street to the north. The facility is located one block east of the historic Main Street. A Union Pacific Rail Road line runs across the street to the west of the facility. The facilities foundation is a combination of concrete slab and wooden pier and beam. The facility façade is stucco. The roof is made of corrugated steel and was replaced in 2013. C. The property is included in Buda’s Historic Overlay District and is designated a F5H zoning district which is a form based district. Form District 5H (F5H) preserves the existing historic commercial buildings and new compatible infill to accommodate retail, offices, townhouses and apartments. It should have a tight network of streets, with wide sidewalks, steady street tree plantings and buildings set close to the sidewalks and must match the existing character and form of the existing fabric of Buda’s Historic Downtown. A Pre-Proposal Meeting and Tour of the facilities will be conducted on _____, 2018 beginning at 3:00 p.m. CST in the former City Hall Council Chambers located at 121 S. Main Street, Buda, Texas. The meetings are not mandatory. Any questions and answers provided during the Pre-Proposal Meeting will be issued in an addendum and posted on the City’s website with the RFP notice. C. The deadline to submit questions related to this RFP is ______, 2018 at 5:00 p.m. CST. All questions should be submitted electronically to [email protected]. An addendum with responses to the questions will be posted on the City’s website with the RFP notice. D. Schedule – The City will generally follow the schedule outlined below for the selection process. 5. DESIRED DEVELOPMENT The adopted Buda Downtown Master Plan identifies a desire for business diversity in downtown Buda that includes retail shops, restaurants, entertainment, and other destination and activities that will draw even more individuals to visit the area. 6. RELATED PLANNING DOCUMENTS A. Buda 2030 Comprehensive Plan – The plan, which was adopted in 2011, is a document intended to guide Buda’s future growth. It envisions a community reflective of its historic heritage with a unique identity. The guiding values identified in the plan are community character, environmental protection, 4|Page

B. 2015 Downtown Master Plan – The Downtown Master Plan establishes the vision for the future of Downtown Buda and outlines a framework of actions to realize that vision over the next decade. The goal for downtown Buda, as identified in the 2030 Comprehensive Plan, is to have downtown serve as the “heart of Buda,” providing strong economic opportunities and serving as a celebration of the city’s historical and cultural heritage, making it a vibrate plate to live, work, and play. While the Downtown Master Plan has broad recommendations for the reuse of city-owned facilities in downtown Buda, the City seeks creative uses supportive of market demands that will add to downtown’s overall goal of economic vitality. In addition to outlining the space needs for the city as it grows, the plan provides an assessment of the former city hall and city hall annex spaces and ideas for reuse options. Proposals received after this time will not be accepted. Respondents shall submit five (5) hardcopy submittals along with an electronic PDF submittal on a CD or flash drive. Comprehensive responses are required for every section of the RFP. Proposers shall follow the form as prescribed below. A. Overview of Proposal – Provide a summary of the proposal for the property including a brief summary of the proposer’s organization/team, single point of contact, contact information, proposed lease terms, and intended use. B. Proposer Background and Status – Provide information on any team members associated with the proposal including their names, contact information, resumes, and role on the team. Provide information on the tax status of the proposer (e.g. individual, corporation, non-profit, etc.). C. Relevant Experience – Provide examples of other redevelopment, relevant business enterprises, or managed property. D. Financial Capacity – Provide evidence of financial capacity to complete the project. This may include financial statements which may be marked “confidential and proprietary.” Include financing strategies and sources proposed to complete the project. 5|Page

CITY OF BUDA RFP _______ - 100 HOUSTON STREET E. Business Plan – The business plan should address all items. If an item does not apply, the proposal shall explain why it does not apply. a. Intended use or uses. b. Financing plan for improvements. c. Proposed schedule and timeframe for completing all phases including permitting, renovations, and occupancy. d. Proposed facility modifications or renovations to the interior or exterior of the property. e. Estimate of project costs. f. Concept drawings, floor plans, and schematic designs. g. Proposed sublet rates, if applicable. h. Describe how the project will benefit the Buda community and further the goals for downtown Buda. i. Maintenance plan for the upkeep of the property. F. Lease Proposal and Terms – Provide a proposed monthly lease payment to the City and the duration. Include any proposed mechanisms for lease rate changes. G. Acknowledgement and Required Forms 8. EVALUATION PROCESS All complete proposals received prior to the deadline will be evaluated by the City. No proposals will be accepted after the deadline. The City will not open any proposals prior to the deadline. Proposals will be evaluated based on which proposal provides the best overall value to the City. While the rental/lease rate is a consideration, the City will also consider the intended use, business plan vitality, tax impact, and alignment with the City’s overall goals as part of the evaluation. The City may request any or all Proposers give a presentation and/or interview with the City including the City Council. These discussions may include requests for additional information and/or requests to modify or revise the original RFP as allowed by law. Following the evaluation process, Proposals will be ranked in order of preference and contract negotiations will begin with the top ranked proposer. Should negotiations with the highest rank proposer fail to yield an acceptable agreement or the proposer is unable to execute an agreement, negotiations with that proposer will be formally ended and then commence with the next highest ranked proposer. While negotiations are underway, the Proposer will be allowed to conduct a noninvasive inspection of the Premises 9. TERMS AND CONDITIONS

CITY OF BUDA RFP _______ - 100 HOUSTON STREET A. The City reserves the right to reject any and all proposals and to cancel, withdraw, or suspend this RFP at any time. B. The City makes no express or implied representation or warranties as to the accuracy and/or completeness of any of the information provided as part of the RFP, including information that is available upon request. C. The City reserves the right to seek additional information or revised proposals from the respondents at any time. D. Any proposed modifications to the premises are subject to the approval of the City. E. There is no express or implied obligation of the City of Buda to reimburse responding Proposers for any expenses incurred in preparing Proposals in response to this Request for Proposals. The City will not reimburse firms for any expenses or associated costs for the preparation of a Proposal or related presentation. F. By submitting a proposal in response to this RFP, the Proposer represents that it has carefully read and understands all elements of this RFP; has familiarized itself with all federal, state, and local laws, ordinances, and rules and regulations that may affect the cost, progress, or performance of the work; and has full knowledge of the scope, nature, quality and quantity of services to be performed. G. All materials submitted as part of this RFP shall become the property of the City of Buda. H. All proposals will be kept confidential during the negotiation process. Except for trade secrets and confidential information that is marked by the proposer as proprietary, all proposals will be open for public inspection after an agreement is awarded. I. No officer, employee, independent consultant or elected official of the City who is involved in the development, evaluation or decision-making process of this solicitation shall have a financial interest, direct or indirect, in the resulting agreement. Any willful violation of this paragraph shall constitute impropriety in office, and any officer or employee guilty thereof shall be subject to disciplinary action up to and including dismissal. Any violation of this provision with the knowledge, expressed or implied, by the vendor shall render the agreement voidable by the City. Nevertheless, the City may obtain the services under the agreement if a conflict of interest affidavit is filed and the City Council member recuses his/herself. J. Compliance with Section 2252.908 Texas Government Code/Disclosure of Interested Parties is required. The City cannot enter into an agreement until a copy of Form 1295 is submitted through the Texas Ethics Commissions electronic filing application. K. Any agreement awarded as a result of this RFP shall be governed by and construed in accordance with the laws of the State of Texas, and is fully 7|Page
