CONTRACT This Contract (“Contract”) is made December 16, 2014, by and between Highlands County, a political subdivision of the State of Florida (“County”) and Tetra Tech, Inc., the successor in interest to the BDR Division of Leidos, Inc. which was formerly Science Applications International Corporation, a Delaware corporation (“Contractor"). In consideration of the mutual covenants to be performed by the Parties pursuant to this Contract, each Party hereby represents, warrants and agrees as follows: 1. SCOPE OF SERVICES. Contractor shall provide all services, materials, and equipment to perform the services agreed upon by written task orders executed by both Parties. Those services shall be within the services described in the Scope of Services attached hereto as Exhibit A, the Project Understanding and Approach attached hereto as Exhibit B, the Sample Scope of Services for Debris Monitoring Services attached hereto as Exhibit C, and the Federal Emergency Management Agency Public Assistance Debris Monitoring Guide (FEMA 327) then in effect, collectively referred to herein as the “Scope of Services”. Those Exhibits are included in this Contract by this reference. 2. TERM. This Contract shall be for a Term of five (5) years beginning August 1, 2014, and the parties shall have the option, by written instrument signed by both parties, to extend this Contract for an additional period of two (2) years (the “Extended Term”). 3. FEE SCHEDULE. County shall pay Contractor for the services performed by Contractor pursuant to Task Orders issued pursuant to Article 1 of this Contract at the following rates: Fee Schedule for Debris Monitoring Services: Title Project Manager Field Supervisor Debris Monitor*

Hourly Rate $76.00 $48.00 $34.00

*for all aspects of the debris removal operation, including all activities at all loading, staging, and disposal sites, including, but not limited to, loading site monitors, debris management site monitors, field monitors, field collection monitors, temporary debris storage and reduction site monitors, and residential debris drop-off site monitors. 17. SUBCONTRACTORS. No subcontractors may be used without the written approval of County.

NOTICES.

Any notice, request, demand, consent, approval or other communication required or permitted by this Contract shall be given or made in writing and shall be delivered to the receiving party, as elected by the sending party, by any of the following methods: (i) (ii) (iii)

Hand delivery; or Delivery by commercial overnight courier service, with confirmation of delivery requested; or Mailed by registered or certified mail, postage prepaid, return receipt requested,

and addressed as follows: To County: Highlands County Board of County Commissioners 600 South Commerce Avenue Sebring, FL 33870 Attn: Scott Canaday, Emergency Management Director To Contractor: Tetra Tech, Inc. 2301 Lucien Way, Suite 120 Maitland, FL 32751 Attn: Ralph Natalie, Director, Post Disaster Programs Attn: Betty Kamara, Contracts Administrator Notice given in accordance with the provisions of this paragraph shall be deemed to be delivered and effective on the date of hand delivery or on the second day after the date of the deposit with an overnight courier or on the date upon which the return receipt is signed or delivery is refused or the notice is designated by the postal authorities as not delivered, as the case may be, if mailed. Either party may change its address by this Article by giving proper notice as required. 19. TAXES: County is a non-profit governmental operation and not subject to federal excise or state sales tax. 20.

TERMINATION. 20.1 County may terminate this Contract for any reason upon thirty (30) days prior written notice. 20.2 County reserves the right to terminate this Contract, if, during the term of this Contract, including the Extended Term, if any, Contractor becomes involved as a debtor in any bankruptcy proceeding or becomes involved in a reorganization,
