The undersigned, in order to induce Ripple Junction to extend credit to the Company, and for other good and valuable consideration, does hereby unconditionally and absolutely guarantee the payment of all amounts owed by the Company to Ripple Junction, when due, without the necessity of Ripple Junction resorting to any other party. The undersigned agrees that Ripple Junction will not be required to pursue or exhaust any of its rights or remedies against the Company with respect to the payment of any amounts owed Ripple Junction by the Company before commencing proceedings to collect any such amounts from the undersigned. This Guaranty shall be governed by and construed in accordance with the internal substantive laws of the State of Ohio. Dispute Policy The undersigned irrevocably and unconditionally (i) agrees that any suit, action or legal proceeding arising out of or relating to this Guaranty shall be brought exclusively in the Federal or state courts having a situs in Cincinnati, Ohio; (ii) consents to the jurisdiction of each such court in any suit, action or proceeding; (iii) waives any objection which the undersigned may have to the laying of venue of any such suit, action or proceeding in any such courts; and (iv) agrees that service of any court paper may be effected on such party by mail or in such other manner as may be provided under applicable laws or court rules of the State of Ohio. In the event Ripple Junction commences a legal proceeding against the undersigned to collect amounts owed by the Company to Ripple Junction, the undersigned agrees to pay all collection costs, court costs and other fees and expenses including, without limitation, reasonable attorneys’ fees, incurred by Ripple Junction in connection with the collection of amounts owed.

Online Marketplace Policy
I understand that Ripple Junction does not accept Amazon and/or Ebay resellers. As a Ripple Junction customer, I agree to sell Ripple Junction merchandise only through my company website or physical retail outlet. I agree not to sell any Ripple Junction merchandise through 3 rd party online marketplaces including, but not limited to, Amazon, eBay, FAB, Alibaba, etc. I also agree not to sell Ripple Junction products to companies who resell or redistribute Ripple Junction products to online marketplace retailers. I also agree to adhere to MAP recommendations and will not go below MAP without prior approval from Ripple Junction. Failure to adhere to this policy will result in an immediate and indefinite account suspension. Account reinstatement is at the sole discretion of Ripple Junction.
