Antitrust Guidelines Review Do not discuss with competitors your own, or a competitors’, prices; do not discuss anything that might affect prices, such as costs, discounts, terms of sale, profit margins or any other competitively sensitive information. Do not discuss capacity or output. Do not stay at a meeting where any such talk occurs. Do not make general announcements or statements at AgGateway meetings about your business secrets, such as sales strategies, new product development, capacity expansion or restrictions, or any such intended activity. Do not talk about what your company plans to do in specific markets, or with certain classes of customers, or with regard to types of products.

Introduction, Overview of Council • Introduction • Name, Company • Council Overview • One of the original AgGateway Councils • Mission: The Crop Protection Council will expand eBusiness participation and drive business value within our industry segment by sponsoring projects, growing membership and promoting the value of eBusiness. • Success: 75% of industry sales transactions between manufacturers and distributors are now electronic. • AEC Project completed in 2008 • Order Create / Response, Invoice, Ship Notice, Inventory Actual Usage, Product

Board of Directors Update Motion
Status
Be it resolved to approve the September 2015 Financial Report Approved as presented. Be it resolved that the Board approves the 2016 Tactical plan.

Be it resolved that the Board approves the addition of a top tier of “Over $3 Billion” in revenue to the AgGateway Membership Tiers and to change the second tier from “over $2 Billion” to “$2 Billion to $3 Billion” in revenue.
Withdrawn
Be it resolved to approve alignment of Grain Tiers with the AgGateway Membership Tiers such that the Total Dues* (for grain and membership) is no higher than the Membership Tier 1 rate. For 2016 that will be no higher than $28,200.

Board of Directors Update, Cont’d Motion
Status
Be it resolved to approve the 2016 Budget as proposed with the removal of the proposed additional Membership Tier (greater the $3B in revenue) and including the recommended 6% increase for all tiers.

Be it resolved that the Board approves committing the membership to invest the time and personnel resources to develop the RFP for a competitive vendor selection process. Be it resolved that the Board approves the proposed framework as a basis for funding the initial development of the AgGateway Future Vision Platform once a vendor is selected through the RFP process.
Withdrawn prior to meeting. Next steps are to: • Issue white paper • Conduct Conference session to review business needs, benefits, process, etc. and to conduct Q&A with feedback • Bring back to the BOD in January 2016
