SAP REFERRAL PROGRAM – REGION SPECIFIC TERMS EMEA & MEE

Fees 1. Referral Program Members (RPM or “program member”) may earn a referral fee of 10% on the first 12-months of Net SAP subscription billings (Annual Contract Value or ACV). RPM are not entitled to claim any fee on subscriptions beyond the first 12 months. No Referral fees can be earned on SAPs subsequent sales to customer, such as additional sales or future upsells. Renewals of subscriptions are not subject to any Referral fee. 2. Where the customer chooses to purchase from SAP’s on-premise price list, the RPM shall instead earn a referral fee of 5% from the proceeds of the initial Net SAP Software license deal. 3. In any deal, SAP caps the payout at a maximum of 25000 Euro (twentyfive-thousand) per transaction. No referral fee per deal may exceed this amount. 4. Only one RPM may earn a referral fee on a deal. Preference is given to the lead that was registered first. 5. The referral fee will be based on the rate published in this document at time of lead acceptance. 6. SAP will attempt to run monthly payout cycles of referral fees, but payment of referral fee to RPM will happen no later than 90 days after the customer pays SAP for the subscription. 7. RPM shall promptly refund to SAP any overpayment(s) (e.g. Referral Fees on Lead Referral Revenue that was reduced, following returns/cancellations from the customer). SAP Solutions All current SAP solutions are applicable; however, SAP will initially focus support to RPMs for the following core solutions: SAP Business ByDesign, SAP SuccessFactors HR Solutions and SAP Hybris Cloud for Customer. SAP intends to add support for more solutions over time.

Market Segment The designated area of activity that SAP commends to RPM is with small and medium-sized accounts which SAP refers to as the General Business (GB). Annual earnings of companies in the General Business will be up to, but no higher than, the threshold stated below: France, Monaco, United Kingdom, Ireland: 1.3bn Euro Denmark, Finland, Greenland, Netherlands, Norway, Sweden: 1bn Euro Belgium, Luxembourg: 750m Euro Spain, Andorra: 600m Euro Cyprus, Malta: 250m Euro Any country not listed above will have the General Business segment defined as up to 500m Euro annual revenue. SAP may choose not to accept lead referrals for prospects that are outside the General Business segment. In this event, the lead information will not be processed further by SAP. Currency SAP shall support payment in Euro or GBP. The choice of payment currency is taken upon joining the Referral program. It applies to all earnings and SAP will not be able to support switching between currencies once the account is set up.

Marketing Support SAP will make available selective marketing assets to RPM. Assets will be available for the core solutions described above. Subject to availability and to RPMs with significant lead referral activity (minimum of 100 leads in 180 days), SAP may provide additional dedicated market and/or business development support. No entitlements can be derived from such support. Territory The territory of the agreement is EMEA and MEE, which are defined as below. The countries in the SAP defined EMEA region are as follows: Andorra, Belgium, Botswana, Cyprus, Denmark, Estonia, Finland, France, Greenland, Ireland, Israel, Latvia, Lithuania, Luxembourg, Malta, Monaco, Namibia, Netherlands, Norway, Portugal, Saudi Arabia, Spain, Sweden, UAE, United Kingdom, Qatar. Please find following a list of all countries belonging to the MEE region: Austria, Croatia, Czech Republic, Georgia, Germany, Hungary, Poland, Slovakia, Slovenia, Switzerland.
