DRAFT FAIRFAX WATER Minutes of Board Meeting of September 12, 2013

At 7:00 p.m. on Thursday, September 12, 2013, a Board meeting of Fairfax Water was held in the Bill G. Evans Boardroom at 8570 Executive Park Avenue, Fairfax, with the following in attendance: Members:

Upon separate motions duly made, seconded, and unanimously carried, unless otherwise noted, the following actions were taken: Approval of Minutes The Board approved the minutes of July 11, 2013. Matters by Members Members discussed the anticipated cost effects of the Affordable Care Act and voted to have the Government Relations Committee write a letter to Virginia’s congressional delegation to express concern about those costs and their effect on Fairfax Water employee benefits. Infrastructure Committee Report No report was necessary, as Members were present for the Committee meeting held immediately prior to the Board meeting. Matters by Staff Ms. Billman, Manager, Water Quality Laboratory and Compliance, provided a comparison of Fairfax Water and Washington Aqueduct waters based on common water- quality parameters reported in the annual Consumer Confidence Report. Mr. Murray provided the following: 

Transition updates: o

City of Falls Church 

Introductory employee meetings have been completed.



The transfer of customer service data is in progress.



Retirement-plan changes are being drafted for review by the Fairfax Water Board.



The system sales agreement is close to completion.



Public hearings are being publicized and are in progress.



Washington Aqueduct water sales agreement is nearly ready.



Boundary adjustment is on track.

City of Fairfax 

A new draft sales agreement is expected soon.



Employee meetings will begin soon.



Retirement-plan recommendations will be provided by AON.



Loudoun Water has said it will purchase the Goose Creek treatment plant by the end of the year.



Counsel has requested a conference call with Judge Buchanan to discuss transition progress.

Project 915, Divisions 465 and 665 - Improvement and Modification of Treatment Facilities The Board awarded a sole-source contract to Applied Spectrometry Associates and appropriated funds in the amount of $140,000 to purchase and install two ChemScan Model UV2150/S Chloramination Analyzers, one at each treatment plant. Project 3652, Division 5 – Capital Equipment The Board appropriated funds in the amount of $237,745 to Project 3652, Division 5, and awarded a contract to CDW Government LLC in the amount of $212,745 to furnish and install a communication-infrastructure upgrade. Project 579 – Major Repairs - Treatment Facilities Division 93 – Corbalis Electrical Improvements The Board appropriated $460,000 to Project 579, Division 93, and awarded an engineering services contract to CH2M Hill in the amount of $348,432 for the Electrical System Mapping and Operational Vulnerability Assessment component of the Corbalis electrical-improvements project.

Project Appropriations The Board approved an increase in appropriations for nine projects totaling $2,017,500. A detailed description of each project appropriation is included with the papers of this meeting. Closed Session Upon motion by Mrs. Singer, seconded by Mr. Rubin, and unanimously carried, a closed session was called in accordance with the Virginia Freedom of Information Act, Section 2.2-3711(A)6, for discussion or consideration of the investment of public funds where competition or bargaining is involved, where, if made public initially, the financial interest of the governmental unit would be adversely affected, specifically relating to the City of Fairfax and City of Falls Church; Section 2.23711 (A)7 for consultation with legal counsel and briefings by staff members or consultants pertaining to actual or probable litigation, where such consultation or briefing in open meeting would adversely affect the negotiating or litigating posture of the public body specifically relating to City of Fairfax and the City of Falls Church, and Section 2.2-3711 (A)7 for consultation with legal counsel regarding specific legal matters requiring the provision of legal advice by such counsel, specifically relating to Project 1859 – Corbalis to Fox Mill Water Main. Upon conclusion of the closed session, the open session was resumed, whereby Mrs. Singer made a motion, seconded by Mr. Rubin, certifying, in accordance with Section 2.2-3712 of the Virginia Freedom of Information Act that, to the best of each Member’s knowledge, (i) only public business matters lawfully exempted from open-meeting requirements under Chapter 37 of Title 2.2 of the Virginia Code, and (ii) only such public business matters as were publicly identified in the motion by which the just concluded closed meeting was convened were heard, discussed, or considered by Fairfax Water in closed session. This motion was approved with the following Members voting in the affirmative by roll-call vote: Mr. Griffin, Mr. Roberson, Mr. Rubin, Dr. Weiss, Chairman Allin, Mrs. Singer, Mr. Begovich, Mr. Day, and Mr. Dotson. Adjournment There being no further business, the meeting was adjourned at 9:35 p.m.
