Dear Ms. Avinger: Acting as the authorized officer for ID International (Texas), Inc., the managing general partner of Owner, Owner has contracted to sell 4024 Rock Quarry Road, Dallas, Texas to liT Dallas-3737 &4024 Rock Quarry Road LP ("Buyer"). The City of Dallas executed a real property tax abatement agreement (the "Agreement") with Owner for the premises at 4024 Rock Quarry Road, Dallas, Texas on October 25, 2006. As part of the pending, sales transaction, Owner is assigning the rights and benefits represented within the Tax Abatement Agreement - Resolution No 06-3011 to Buyer. Upon completion of the sales transaction, Buyer will be responsible to maintain and abide by the terms of the Agreement. By signature below, the responsible parties acknowledge the transfer of the Agreement to Buyer upon completion of the pending sales transaction. In addition, Buyer accepts and agrees to assume all rights and obligations, including without limitation, all annual compliance and tax abatement application requirements set forth in the Agreement. This letter may be executed in multiple counterparts, each of which shall constitute an original, but all of which taken together shall constitute one and the same agreement. Sincerely,
