“Constitution” Article 1: Name The Name of this Association is: Perry County Youth Baseball Association. • - Referred to by “PCYBA” from here forward. Article 2: Objectives Section 1.
To provide an administrative framework to ensure the proper volunteer management of the Babe Ruth Baseball program within Perry County, Commonwealth of Pennsylvania in accordance with the approved League boundaries into a unified organization. Association boundaries map is located on pages 6-12.
Section 2.
To unite under a common bond, all chartered Associations within the approved Babe Ruth Baseball League boundaries.
Section 3.
To endeavor to implant in the youths of member teams the ideals of good sportsmanship, honesty, loyalty, courage and respect for authority, so that they may be finer, stronger and happier youths who may grow to be good, clean, healthy adults.
Section 4.
To give direction and impetus to the volunteer leaders of the member teams.
Section 5.
To stimulate the exchanges of information and ideas by means of meetings, conferences and newsletters.
Section 6.
To promote expansion of the Babe Ruth Baseball program within Pennsylvania.
Article 3: Statement of Affiliation
This organization shall be affiliated with Babe Ruth Leagues, Inc., a New Jersey corporation, which is a non-profit, educational organization dedicated to developing better citizens by providing properly supervised baseball competition for 5-15 year old players. PCYBA shall be governed by and shall comply with the rules, regulations, and policies promulgated by said Babe Ruth Leagues, Inc. Article 4: Site of Principal Operations The principal operations of PCYBA shall be within the boundaries of the Commonwealth of Pennsylvania but may extend into such areas as provided for by the Rules and Regulations of Babe Ruth Baseball. Article 5: Powers Section 1.
The powers of PCYBA reside in its member rostered Associations. Elected Officers exercise these powers on behalf of the membership. The Board of Directors of PCYBA shall consist of one member from each Association. The Board will elect from its members a Chairman, C0-Chairman a Secretary and Treasurer.
Section 2.
PCYBA shall have the following powers in addition to the powers expressly or implicitly conferred upon it by this “Constitution” and “Bylaws”.
A.
To make and enforce rules and regulations to govern itself, but consistent with and not contrary to any rules, regulations or directives promulgated by Headquarters, Babe Ruth Baseball, by the Middle Atlantic Regional echelon of Babe Ruth Baseball, to which PCYBA is subject.
B.
To make and enforce rules and regulations governing League tournaments, but consistent with and not contrary to any rules, regulations or directives promulgated by Headquarters, Babe Ruth Baseball, by the office of the Middle Atlantic Region or by the office of the Babe Ruth Baseball Leagues, Inc.
C.
To approve or disapprove of the fund-raising endeavors or the soliciting of contributions by the Association, but consistent with and not contrary to any rules, regulations, or directives promulgated by Headquarters, Babe Ruth Baseball, by the office of the Middle Atlantic Region or by the office of the Babe Ruth Baseball Leagues, Inc.
D.
To make and enforce rules and regulations governing dues and special assessments to be allocated to constituent teams within the league, so long as 2
said dues and special assessments are not contrary to any rules, regulations or directives of Babe Ruth Baseball. E.
To approve or disapprove the geographical boundaries of constituent teams, and to create, abolish or consolidate such geographical boundaries as may be established now or created hereafter and are not contrary to any rules, regulations or policies of Headquarters, Babe Ruth Baseball, nor without approval from Pennsylvania Babe Ruth Leagues, Inc.
F.
To enter into whatever contracts or to hold and own property as may be legally permissible under the laws of the Commonwealth of Pennsylvania and are not contrary to any rules, regulations or directives of Headquarters, Babe Ruth Baseball.
G.
League and team fees will be determined by the PCYBA Board annually.
Article 6: Membership Section 1.
All associations rostered with PCYBA and which have met with the provisions of this Constitution, bylaws and adopted rules. By definition, membership includes any board member at the local association level.
Section 2.
Those league officials & Board members elected or appointed pursuant to this Constitution of the PCYBA.
Article 7: League Officials Section 1.
Each constituent Association shall designate a single individual to participate on the Board as their representative and be the association’s voting member. The Board shall elect from within its membership a Chairman, a CoChairman, a Secretary and a Treasurer.
Section 2.
In the event that a League official is unable to complete his/her term of office, the Board shall elect a replacement from its membership at the next regular or special PCYBA Board meeting.
Article 8: Meetings Section 1.
The meetings of the PCYBA shall be held on the first Sunday in November, January, February, March, April, May, June and July, unless otherwise ordered by the PCYBA Board Chairman. 3

The Fall meeting of the PCYBA shall be held on the first Sunday of October, unless otherwise ordered by the PCYBA Board Chairman. This meeting, also known as the Annual Meeting, shall be held for the purpose of receiving reports of officers, committee chairmen, election of officers and for any other business that may arise. New Business Remarks for the betterment of PCYBA. (Matters of new business may be conducted hereunder as a result of the remarks.) Adjournment Section 4.
Regular Meetings of the PCYBA shall be called by the PCYBA Board Chairman at his/her discretion or at the request of at least five team Managers. Notice of special meetings shall be sent to each association representative at least seven (7) days before the date of the meeting. The purpose of the meeting shall be stated in the notice.
Section 5.
PCYBA meetings shall follow the parliamentary procedures specified in the current edition of Robert’s Rules of Order.
Section 6.
The Officers shall act by majority vote of Board members present, except when any other specified vote is explicitly required by this Constitution or bylaws.

Section 7.
Any PCYBA Board member having an attendance record of less than two thirds (2/3) of the regular meetings (spring meeting and fall meeting inclusive) of the election year, shall forfeit his/her voting privilege for a period of one (1) year. This forfeiture shall begin October 1st and continue until September 30th of the next year.
Article 9: Amendments This constitution can be amended at any regular or special meeting of PCYBA by a 2/3 vote of those Board members present, provided that the amendment is submitted in writing to the League Secretary not less than fifteen (15) days before the meeting at which the proposed change is to be considered. The League Secretary shall announce an approved amendment to the entire membership at the earliest opportunity. Article 10: Dissolution PCYBA can be dissolved upon unanimous recommendation of the entire Board. In the event of dissolution, the League Officers shall continue in office until all legal and financial matters have been settled in accordance with the Articles of Incorporation.
