All EagleBay Lots shall be usedsolely and exclusivelyfor residentialpurposes. b) All ofthe propertydescribedon attachedExhibit A-2 and A-3 shall hereinafterbe known as "Eagle Bay Highlands" and all EagleBay HighlandsLots shall be used solely and exclusivelyfor residentialpurposes. 2. Any residenceerectedon any of the aforementionedLots shall be designedand usedfor occupancyof a single family only. No businessbuildings shall be erected,nor shall a commercialbusinessof any naturebe conductedon any Lot, boat dock or commonpropertywithin the Subdivision. 3. All residentialstructuresshall have at leastone story abovethe surfaceof the ground. No basementhome shall be usecias a residence,permanentlyor temporarily. No earthcontacthomesshall be allowed. No dwelling constructedon any Eagle Bay Lot rnay be occupiedor usedfor residentialpurposesuntil the dwelling is connectedto the centralwater well systemand centralsewagetreafinentplant locatedwithin the Eagle Bay Amended Plat describedabove. 4. Any residenceconstructedon a waterfront lot shall have a minimum of 2,000 squarefeet of actual living space. Any residenceconstructedon a non-waterfrontlot shall have a minimum of 1,500 squarefeet of actual living space,except Eagle Bay Highlands lots which shall have a minimum of 1200 squarefeet of actual living space. Actual living space shall not include any areasin garages,walkways, porches,decks,or other areasnot utilized as actual living space. The actual living spaceshall be computed on the outside dimensions of the structure. 5. All buildingsand docks shall be constructedin compliancewith applicableFERC regulations. 6. a) r.vobuilding on iny Eagle Bay Lot shall be locatedneiuerthan five (5) feet to any streetlot line. b) No building on any Eagle Bay HighlandsLot shall be locatednearerthan thirty (30) feet to any streetlot |ine. 7. a) No foundafionof any building on any Eagle Bay Lot shall be locatednearerthan five (5) feet from any interior lot line. b) No foundationof any building on any Eagle Bay HighlandsLot shall be locatedneiuerthan ten (10) feet frorn any interiorlot line. 8. Exterior walls of allbuildings, structuresand appurtenances theretoshallbe of aluminum,brick, stone,wood shingles, wood siding,wood paneling,plate glass,masoniteand vinyl or a combinationthereof. No building shall be constructed with an exteriorcoveringof asphaltpaper,tin or any materialnot recognizedin the consffuctionindustry as a substantial permanenttype of constructionmaterial. Windows, doors and louversshall be of wood or metal or vinyl and glass. Roofing materialsshall be of a compositionnow or hereafterrecognizedas a perrnimenttype. All exteriors,with the exceptionof roofs and siding of maintenancefree cedaror redwood (which requireno painting or staining),shall be coveredwith a finish of paint, stainor stuccomaterial. No building shall be permittedto standwith its exterior in an unfinishedconditionfor more than six (6) months after commencementof construction. ln the eventof fire, windstorm or other damageno building shall be permitted to remain in a damagedcondition for more than tfuee (3; months. 9. a) No mobile homes(single, double or triple wide), housetrailers, recreationalvehicles or other movable structures shall be installed, placed or constructed upon any Eagle Bay lot, either permanently or temporarily. Some types of manufacturedhousing MAY be permitted subject to the approval of the developeror architecturalcommittee; b) Campers,fifth-wheelers, motor coaches,motor homes and similar recreationalvehicles are not permitted on any Eagle Bay Highlands lots unlessattendedwithin a 48-hour period. Attended cirmpers,fifth-wheelers, motor coaches, motor homesand similar recreationalvehicles are permitted to remain on Eagle Bay Highlands lots for up to a maximum of I 80 daysper year. Architecturalplansmust be submittedto the Developerfor approvalbeforeconstructionmay commence. Architecturaldesignsmust be consistentwith the generalnatureof the architecturewithin the Subdivision. ln an effort to enhancepropertyowners' supervisionof their hired contractors,a $2500.00damagedepositcheckmade payableto the EagleBay DamageDepositAccount must accompanyall plans subminedto the ArchitecturalReview Committeefor review. The Party subrnittingany plans shall hereafterbe called the "Applicant". This $2500.00damagedepositcheck shall be depositedin an interestbearingaccountupon written approvalof the plans by the Committee.All interest{lom the funds shall be appliedto the cost of maintainingthe accountwith any excessusedto offset the normal operating expensesof the Eagle Bay HomeownersAssociation,Inc. Should therebe damagefrom Applicant's construction activitiesto any roads,common areasor lots owned by others,the Chairpersonof the Eagle Bay Homeowners' Association,Inc. shall obtain an estimateof the repair costsand apply the depositto the repairs.Copiesof the estimate shall be availableto the Applicant and the owner(s)of the damagedpropertyupon request.The damagedepositminus any repaircostsshall be refundedto the Applicant when the Chairpersonof the Eagle Bay Homeowners'Association,Inc. determinesthat all consfiuctionand landscapinghas beencompletedin accordancewith the approvedplan. The Chairpersonof the EagleBay Home Owners' Association,Inc. will issuea written "Stop Work Order" for violationsof the following Requirements: a) All constructionmust be substantiallyin accordancewith the approved plans. No changesor additionsare allowed without prior approvalof the ArchitecruralReview Committee. b) All construction sites rnust be maintained in a workmanlike manner with debris and nash confined to a trash receptacleof appropriate size. Trash or debris left on the lot for a period of greaterthan fourteen( I a) dayswill be considereda violation. c) Fires for buming trash and debris must be attended at all times, and an appropriate means for extinguishingthe fire must be immediatelyavailable. d) No fill, topsoil, sand,gravel or umyother materials shall be placed or stored on the road, road right-of-way, common areasor lands owned by others without expresswritten permission from all owner(s) of record of lands affected. 12. All residenceserectedupon EagleBay Lots must be connectedto the cenfial sewagetreafinentplant systemand to the centralwater well system. EagleBay HighlandsLots will haveprivate on site wastewatertreatmentsystemsand privatewells. 13. All drivewaysshall be a minimum standardof hard packedrock and gypsummaterial. 14. No boatsor boat trailersshall be openly parkedor openly storedon any Lot. Any such boat or trailer must be stored in a garageor an rueawhich may be designatedby the Associationfor suchpurpose. 15. No vehiclewhetherself propelledor not, shall be permittedto remainon any Lot, common areaor roadway unlessit is in a licensedand/oroperablecondition. Any suchvehicle shall be parkedin such a mannerthat it is not a nuisance, aestheticallyor otherwise,to other Lot owners. No vehicle of any type shall be parkedin any areawhich is not ordinarily usedor designatedfor parking of vehicles. 16. No hogs,cows, chickens,goats,horsesor other animalsor livestockof any kind shall be raised,bred or kept on any Lot, exceptthat no more than two (2) dogs or two (2) catsor two (2) of any other householdpetsor (2) of any combination thereof may be kept, provided that they are not kept, bred or rnaintainedfor any commercial purpose. However,upon specialor uniquecircumstances, the Developeror the Associationmay grant a varianceto this particular restriction. Any suchpet shall be maintainedwithin the boundariesof the owner's Lot or otherwisekept on a leash. No dog runs or dog pens will be permitted on any Lot. 17. No signs,advertisements, billboardsor advertisingstructureof any kind may be erectedor maintainedon any Lot

Exhibit A-3 18. No automotive repair or rebuilding or sny other form of automotive manufacfure,rvhetherfor hire or othenvise, shall be allowed on any Lot except that automotive repairs on a non-commercial basismay be conductedwithin any enclosed gilage. 19. Boat docksof any type or descriptionshall be subjectto and underthe control of the appropriategovernmentalor regulatoryagencygoverningthe Lake of the Ozarksand specificallythe construction,use and maintenanceof suchboat docks. Nothing containedin thesecovenantsshall interfereor conflict with any suchagency'scontrol of said boat docks. Subject to the foregoing, no boat docks or boat ramps may be erected,constructed,located, used or maintained appurtenantto the Subdivisionunlessand until plansand locationthereof havebeen submittedto the Association,and by it approvedin writing. 20. No clotheslines shallbe pennanentlyinstalledon imy Lot in the Subdivision. 21.
