EMPLOYMENT CONTRACT DISTRICT ADMINISTRATOR

It is hereby agreed by and between the Board of Education of the School District of Sheboygan Falls, hereinafter referred to as the “Board of Education” and Jean Born, hereinafter referred to as “District Administrator”, that the said Board of Education does hereby employ Jean Born in the position of District Administrator. The District Administrator accepts employment in the position. TERM OF AGREEMENT The Board agrees to employ the District Administrator for a term of two (2) years commencing on the first day of July, 2012, through and including the 30th day of June, 2014. Effective January 15, 2012, and each January 15 thereafter, this contract will be extended by one additional year unless either party provides written notice to the other prior to January 15, of a decision not to extend this contract. The District Administrator accepts employment for said term. AUTHORITY The authority and responsibility of the District Administrator will be as prescribed by the laws of the State of Wisconsin, as amended, and the attached job description, adopted by the Board of Education. LICENSE AND RESPONSIBILITIES The District Administrator agrees to furnish and maintain throughout the life of this contract, a valid and appropriate certificate, issued by the Wisconsin Department of Public Instruction, to act as a District Administrator in the State of Wisconsin. The Administrator agrees to faithfully perform at a professional level of competence the duties and obligations required of a District Administrator under the laws of the State of Wisconsin and the rules, regulations and policies of the School District which are now existing or which may be hereinafter be enacted by the Board of Education. The Board of Education agrees to furnish the Administrator with a written copy of all such rules, regulations and policies now in effect or becoming effective during the term of this contract. The Administrator agrees to perform the duties as set forth in her job description and such additional duties as may be identified by the Board of Education of the School District. In case of direct conflict between any rules, regulations or policies of the School District and any specific provision of this contract, this contract shall control.

During the term of this contract, the District Administrator hereby agrees to devote her time, skill, labor, and attention to the duties and responsibilities normally and reasonably expected of a District Administrator, and shall not engage in any pursuit which interferes with the proper discharge of the duties and responsibilities of the position of District Administrator. PROFESSIONAL DEVELOPMENT District Administrator may participate annually in a national conference. The District Administrator will participate in all required state meetings and such other professional meetings and seminars, as approved by the Board of Education, which have a direct correlation to the duties and responsibilities of the District Administrator. The School District will reimburse District Administrator for actual, reasonable costs incurred for travel, lodging, meals and registration, in accordance with School District rules and policies or a specific Board of Education authorization. The District Administrator, may undertake speaking engagements, writing, lecturing, or other professional duties and obligations, by agreement with the Board of Education. The agreement will address matters including compensated time off and honoraria. Activities which require the District Administrator to be absent from the School District for more than three consecutive working days must be approved by the Board of Education President. SALARY In consideration for the services rendered, the Board will pay the Administrator a salary of $112,000 for the first year of the contract. A salary for the second year of the contract will be established by the Board of Education, but will not be less than the salary in the first year of this contract. In addition, under Board of Education policy and subject to Internal Revenue Service rules on annual maximum allowable contributions, the annual salary of the District Administrator is increased by an additional sum of $6,000.00 in each year of this contract, which will be contributed by the District Administrator to a tax sheltered annuity plan designated by the District Administrator. RESTRICTED DUTIES The parties mutually acknowledge that the spouse of the District Administrator is employed by the School District as a member of the faculty. The parties agree that on this basis, the performance of certain duties by the District Administrator presents a conflict of interest. Accordingly, in the course of service to the School District under the terms of this contract, the parties agree that the District Administrator will not: 1. Participate in negotiations, discussion, or make recommendations on the teacher collective bargaining contract;

2. Present a recommendation on the School District budget, if the School Board has not already entered into a labor contract that establishes salaries and benefits for teachers during the period covered by the budget, if the budget will substantially affect teacher salaries or benefits; 3. Participate in negotiations, discussions, or make recommendations on the terms of a collective bargaining contract with another bargaining unit, if the contract will affect the terms of the teacher labor contract in other than an inconsequential manner; 4. Participate in a disciplinary or similar matter affecting the employment status, benefits, or working conditions of other teachers, if the action could result in the spouse of the District Administrator obtaining a substantial benefit or anything of substantial value from a decision in the matter; 5. Participate in processing a grievance, if the matter involved will impact the spouse of the District Administrator specifically, or the bargaining unit as a whole, including the spouse of the District Administrator, and result in the spouse obtaining a substantial benefit or anything of substantial value from a decision in the matter. The parties agree that the District Administrator position description, appended to this contract, is modified by this contract provision on Restricted Duties. The parties understand and agree that the total compensation of the District Administrator under the terms of this contract is influenced by the prohibition against the District Administrator performing the duties described above. The parties further agree that should the spouse of the District Administrator leave the employment of the School District, the parties will meet within 30 days to negotiate amendments to this contract addressing the issues of required duties and compensation. PERFORMANCE GOALS The Board of Education and District Administrator will mutually establish annual performance goals for the District Administrator. The District Administrator will assist the Board of Education in the course of developing annual performance goals and in assuring that goals for the subsequent year are agreed upon not later than June 30 of each school year. Mutual performance goals for the 2011-2012 school year will be established not later than August 31, 2011. ANNUAL EVALUATION The Board of Education will evaluate the work performance of the District Administrator at least once each year, based upon the District Administrator job description and any performance objectives which may be established by the Board and the District Administrator. With the advice of the District Administrator, the Board of Education and will select the evaluation instrument and procedure to be used. The District Administrator will assist the Board of Education in scheduling the annual evaluation and in assuring that at least one evaluation is completed not later than July 31 of each school year. The first performance evaluation will be completed not later than July 31, 2012. PROFESSIONAL MEMBERSHIPS

The School District will pay the District Administrator’s annual dues for two professional associations and not more than three local service organizations, as approved by the Board of Education. RESIDENCE The District Administrator agrees to maintain residence within the boundaries of the School District. REIMBURSEMENT OF EXPENSES The School District shall reimburse the District Administrator for all reasonable expenses incurred by the District Administrator in the performance of duties under this Contract in conformance with Board of Education policies on reimbursement. ANNUAL MEDICAL EXAMINATION The District Administrator agrees to have an annual comprehensive key-person executive medical examination. The District will pay the costs of the examination not covered by the District Administrator’s health insurance. The District Administrator will disclose to the examining physician and the School Board, any known physical or medical condition which would prevent the District Administrator from performing the essential job functions of the position of District Administrator. The examining physician will provide the School Board with a statement, certifying that the District Administrator is able to perform the essential job functions for the position of District Administrator, as set forth in the position description appended hereto, and that the District Administrator is able to fulfill her responsibilities, as set forth within this contract. The physician’s statement will be safeguarded as a confidential health record by the School District. If the District Administrator is determined not to be physically able to perform essential job functions of the position or to fulfill the responsibilities, set forth within this contract, this contract may be terminated in conformance with the disability provision, herein.

DISABILITY If as a result of illness, accident or other cause beyond her control, the District Administrator is unable to perform the essential job tasks of her position either with or without reasonable accommodation for a continuous period of one hundred eighty (180) working days, or for an aggregate of two hundred twenty (220) days in a one-year period, the Board of Education may terminate this Contract. The District Administrator will be paid all sick leave, long-term disability benefits, and other income continuation benefits available to the District Administrator, notwithstanding termination of this Contract. OTHER COMPENSATION AND BENEFITS

1. The employment year shall be considered as the twelve (12) month period beginning July 1 and ending on June 30. During the employment year, the Administrator shall be entitled to twenty (20) days of paid vacation. Vacation may be taken during the year it is earned. If, however, the Administrator takes unearned vacation and terminates employment, the unearned vacation will be deducted from the last paycheck. Conversely, if the Administrator leaves with earned but not taken vacation, the vacation earned will be paid on the last paycheck at the Administrator’s per diem rate. An employee may carry to the subsequent year a maximum of one half of one year’s vacation benefit; after twenty (20) years of employment in the District, the Administrator shall be entitled to 25 days of vacation; 2. The Administrator shall be entitled to time off on statutory holidays, not to exceed ten (10), and/or such other days as may be designated by the Board; 3. Payment of 50% of the total required contribution to the Wisconsin Retirement System; 4. Payment of 100% of the premium for the administrator’s Wisconsin Term Life Insurance Program; 5. Payment of 100% of the premium for a long term disability plan at the 90% level; 6. Payment of 87.4% of the premium for single or dependent coverage for the Employee’s participation in the district’s health insurance plan and 100% of the premium for single or dependent coverage for the Employee’s participation in the district’s dental insurance plan; 7. Payment of annual dues to two (2) professional organizations; 8. Sick leave to coincide with the District LTD policy, for each occurrence. The Board may require a physician’s certification of illness, injury or incapacity. 9. Effective July 1, 2012, payment of 75% of tuition costs, for approved, graduate credit college course work, based on the current graduate level credit tuition rate established for the University of Wisconsin System Schools, to a maximum of 9 credits (semester hours) annually; 10. Six emergency days annually; 11. One personal day annually; 12. One paid vacation day, in addition to the contractual vacation days, to be taken during the winter break period. LIABILITY INDEMNIFICATION The School District shall defend and indemnify the District Administrator under Section 895.46 of the Wisconsin Statutes and will designate the District Administrator as an insured person under an “errors and omissions” insurance policy with coverage of at least $1,000,000. POST RETIREMENT INSURANCE On behalf of the District Administrator upon retirement, the School District will make contributions toward health and dental insurance premiums at the applicable family or single rate for continued insurance coverage under the School District health and dental plans, or for coverage under other plans under the following conditions: 5

1. The District Administrator must have completed ten (10) years service in the School District and have attained eligibility for Wisconsin Retirement System retirement annuity benefit payments. 2. The monthly premiums paid by the School District for post-employment coverage will not exceed the premiums paid in the final month of employment, rounded to the nearest dollar. 3. The School District will make health and dental insurance premium contributions for a total of seven (7) years after the District Administrator retires. However, the seven (7) years of contributions need not commence on retirement; rather, the District Administrator may select the year in which contributions are to begin, and shall inform the School District of the date on which initial contributions should begin, as well as the health and dental insurance plans to which premium contributions shall be made. Once premium contributions have begun, however, contributions will be made for the coverage period provided under this Agreement. 4. If the retired District Administrator selects one or both of the School District’s health/dental plans, the retired District Administrator will pay the balance of unpaid monthly premiums under rules established by the School District. Failure of the retired District Administrator to pay required premiums will terminate the obligation of the School District under this Agreement to make insurance premium contributions, as well as to make coverage available. 5. If the retired District Administrator dies, any remaining balance of premium contributions will continue to be made on behalf of the surviving spouse and/or eligible dependents of the administrator for the remaining term. The surviving spouse and/or eligible dependents must pay the balance of unpaid monthly premiums under the same terms and conditions which were applicable to the retired District Administrator, as set forth herein. 6. Once the responsibility of the School District to make premium contributions is met, the retired District Administrator may continue coverage under the School District’s health and dental insurance plans subject to any requirements of the plan provider on enrollment, if the retired District Administrator was not continuously covered under the School District plan, and upon payment of the full applicable monthly premiums. The retired District Administrator’s surviving spouse will also be eligible to continue to participate in the School District’s health and dental insurance plans, upon payment of the full applicable monthly premiums, unless enrolled in another group insurance plan at the time of death of the retired District Administrator. 7. Continuation of insurance coverage under this provision will be credited toward satisfaction of the School District obligations under the Federal COBRA and the State of Wisconsin insurance continuation laws with respect to the retired District Administrator and any surviving spouse, and/or eligible dependents. TERMINATION OF CONTRACT FOR CAUSE On the basis of the conduct or performance of the Administrator, the Board of Education may terminate this Contract and the employment of the District Administrator for just cause any time, provided the Administrator has received prior notice in writing from the Board of its intent and

the alleged reason or reasons for such discharge. Reasons for discharge include, but are not limited to: Acts of dishonesty to include theft and falsification of School District records; Acts involving physical abuse of students or employees; Sexual harassment of employees or students; Conduct which is contrary to commonly accepted moral or ethical standards which adversely affects the interests or operations of the School District, including conduct which subjects the School District to public ridicule or harms the reputation of the School District. Conviction of a crime, the circumstances of which the substantially relate to the circumstances of the position of Administrator; Willful violation of School Board written policies, rules, and directives; Revocation of the District Administrator’s license. The Administrator may request a due process hearing with the Board of Education by submitting a written request within fifteen (15) days of receipt of written notice of intent to terminate this Contract for just cause. Upon receipt of the request, the Board of Education will promptly schedule and conduct a hearing, and render a final decision on contract termination. TERMINATION BY MUTUAL CONSENT Upon mutual written agreement by the Board of Education and the District Administrator, this contract and the employment of the District Administrator may be terminated without penalty or prejudice against either the Board of Education or the District Administrator. In this event, the Board shall pay the District Administrator all salary and benefits accrued but unpaid during the period of employment immediately prior to contract termination. NON-RENEWAL OF CONTRACT Renewal and non-renewal of this Contract shall be governed by Sections 118.24(1), (6) and (7), Wisconsin Statutes, or other applicable law, as may be amended from time to time. LIQUIDATED DAMAGES IT IS FURTHER AGREED by the parties hereto that, in the event said Administrator breaches this contract by termination of services $5000.00 is determined to be the reasonable liquidated damages which the parties, looking forward, reasonably anticipate will follow from such a breach and the Board may, at its option, demand and recover from the Administrator such amount of liquidated damages; provided, however, that this expressed intent to liquidate the uncertain damages and harm to the School District expected from such breach is not an exclusive remedy and shall not, unless the Board elects to rely on the same, preclude the Board from seeking and

DISABILITY If as a result of illness, accident or other cause beyond her control, the District Administrator is unable to perform the essential job tasks of her position either with or without reasonable accommodation for a continuous period of one hundred eighty (180) working days, or for an aggregate of two hundred twenty (220) days in a one-year period, the Board of Education may terminate this Contract. The District Administrator will be paid all sick leave, long-term disability benefits, and other income continuation benefits available to the District Administrator, notwithstanding termination of this Contract. OTHER COMPENSATION AND BENEFITS 1. The employment year shall be considered as the twelve (12) month period beginning July 1 and ending on June 30. During the employment year, the Administrator shall be entitled to twenty (20) days of paid vacation. Vacation may be taken during the year it is earned. If, however, the Administrator takes unearned vacation and terminates employment, the unearned vacation will be deducted from the last paycheck. Conversely, if the Administrator leaves with earned but not taken vacation, the vacation earned will be paid on the last paycheck at the Administrator’s per diem rate. An employee may carry to the subsequent year a maximum of one half of one year’s vacation benefit; after twenty (20) years of employment in the District, the Administrator shall be entitled to 25 days of vacation; 2. The Administrator shall be entitled to time off on statutory holidays, not to exceed ten (10), and/or such other days as may be designated by the Board; 3. Payment of 50% of the total required contribution to the Wisconsin Retirement System; 4. Payment of 100% of the premium for the administrator’s Wisconsin Term Life Insurance Program; 5. Payment of 100% of the premium for a long term disability plan at the 90% level; 6. Payment of 87.4% of the premium for single or dependent coverage for the Employee’s participation in the district’s health insurance plan and 100% of the premium for single or dependent coverage for the Employee’s participation in the district’s dental insurance plan; 7. Payment of annual dues to two (2) professional organizations; 8. Sick leave to coincide with the District LTD policy, for each occurrence. The Board may require a physician’s certification of illness, injury or incapacity. 9. Effective July 1, 2012, payment of 75% of tuition costs, for approved, graduate credit college course work, based on the current graduate level credit tuition rate established for the University of Wisconsin System Schools, to a maximum of 9 credits (semester hours) annually; 10. Six emergency days annually; 11. One personal day annually; 12. One paid vacation day, in addition to the contractual vacation days, to be taken during the winter break period.

LIABILITY INDEMNIFICATION The School District shall defend and indemnify the District Administrator under Section 895.46 of the Wisconsin Statutes and will designate the District Administrator as an insured person under an “errors and omissions” insurance policy with coverage of at least $1,000,000. POST RETIREMENT INSURANCE On behalf of the District Administrator upon retirement, the School District will make contributions toward health and dental insurance premiums at the applicable family or single rate for continued insurance coverage under the School District health and dental plans, or for coverage under other plans under the following conditions: 1. The District Administrator must have completed ten (10) years service in the School District and have attained eligibility for Wisconsin Retirement System retirement annuity benefit payments. 2. The monthly premiums paid by the School District for post-employment coverage will not exceed the premiums paid in the final month of employment, rounded to the nearest dollar. 3. The School District will make health and dental insurance premium contributions for a total of seven (7) years after the District Administrator retires. However, the seven (7) years of contributions need not commence on retirement; rather, the District Administrator may select the year in which contributions are to begin, and shall inform the School District of the date on which initial contributions should begin, as well as the health and dental insurance plans to which premium contributions shall be made. Once premium contributions have begun, however, contributions will be made for the coverage period provided under this Agreement. 4. If the retired District Administrator selects one or both of the School District’s health/dental plans, the retired District Administrator will pay the balance of unpaid monthly premiums under rules established by the School District. Failure of the retired District Administrator to pay required premiums will terminate the obligation of the School District under this Agreement to make insurance premium contributions, as well as to make coverage available. 5. If the retired District Administrator dies, any remaining balance of premium contributions will continue to be made on behalf of the surviving spouse and/or eligible dependents of the administrator for the remaining term. The surviving spouse and/or eligible dependents must pay the balance of unpaid monthly premiums under the same terms and conditions which were applicable to the retired District Administrator, as set forth herein. 6. Once the responsibility of the School District to make premium contributions is met, the retired District Administrator may continue coverage under the School District’s health and dental insurance plans subject to any requirements of the plan provider on enrollment, if the retired District Administrator was not continuously covered under the School District plan, and upon payment of the full applicable monthly premiums. The retired District Administrator’s surviving spouse will also be eligible to continue to 6

participate in the School District’s health and dental insurance plans, upon payment of the full applicable monthly premiums, unless enrolled in another group insurance plan at the time of death of the retired District Administrator. 7. Continuation of insurance coverage under this provision will be credited toward satisfaction of the School District obligations under the Federal COBRA and the State of Wisconsin insurance continuation laws with respect to the retired District Administrator and any surviving spouse, and/or eligible dependents. TERMINATION OF CONTRACT FOR CAUSE On the basis of the conduct or performance of the Administrator, the Board of Education may terminate this Contract and the employment of the District Administrator for just cause any time, provided the Administrator has received prior notice in writing from the Board of its intent and the alleged reason or reasons for such discharge. Reasons for discharge include, but are not limited to: 

Acts of dishonesty to include theft and falsification of School District records;



Acts involving physical abuse of students or employees;



Sexual harassment of employees or students;



Conduct which is contrary to commonly accepted moral or ethical standards which adversely affects the interests or operations of the School District, including conduct which subjects the School District to public ridicule or harms the reputation of the School District.



Conviction of a crime, the circumstances of which the substantially relate to the circumstances of the position of Administrator;



Willful violation of School Board written policies, rules, and directives;



Revocation of the District Administrator’s license.

The Administrator may request a due process hearing with the Board of Education by submitting a written request within fifteen (15) days of receipt of written notice of intent to terminate this Contract for just cause. Upon receipt of the request, the Board of Education will promptly schedule and conduct a hearing, and render a final decision on contract termination. TERMINATION BY MUTUAL CONSENT Upon mutual written agreement by the Board of Education and the District Administrator, this contract and the employment of the District Administrator may be terminated without penalty or prejudice against either the Board of Education or the District Administrator. In this event, the Board shall pay the District Administrator all salary and benefits accrued but unpaid during the period of employment immediately prior to contract termination.

NON-RENEWAL OF CONTRACT Renewal and non-renewal of this Contract shall be governed by Sections 118.24(1), (6) and (7), Wisconsin Statutes, or other applicable law, as may be amended from time to time. LIQUIDATED DAMAGES IT IS FURTHER AGREED by the parties hereto that, in the event said Administrator breaches this contract by termination of services $5000.00 is determined to be the reasonable liquidated damages which the parties, looking forward, reasonably anticipate will follow from such a breach and the Board may, at its option, demand and recover from the Administrator such amount of liquidated damages; provided, however, that this expressed intent to liquidate the uncertain damages and harm to the School District expected from such breach is not an exclusive remedy and shall not, unless the Board elects to rely on the same, preclude the Board from seeking and recovering the actual amount of damages resulting from such breach by the District Administrator.
