STATE OF TEXAS COUNTY OF GUADALUPE AGREEMENT TO ACCEPT DONATION OF PROPERTY WHEREAS, on or about September 13, 2016, Guadalupe County, Texas, Buyer, (hereinafter “County”) entered into an Earnest Money Contract (and any Amendments thereto) with the Riedel Family Living Trust, et al (consolidated into the Riedel Family Partners, LTD and collectively referred to herein as “Riedel”, Seller, for the purchase of the property located at 1052 FM 78, Schertz, Guadalupe County, Texas; and WHEREAS, the terms of the Earnest Money Contract required the Seller to move a Caboose from the Property within a certain time frame after the closing of the sale; and WHEREAS, Riedel now desires to donate the Caboose to County upon the terms and conditions stated herein; and WHEREAS, County has agreed to accept the donation of said Caboose; NOW THEREFORE: ARTICLE I County hereby accepts the Donation to the County of the Caboose from Riedel and acknowledges that the value of the Donation is the sum of $ 30,000.00. ARTICLE II Riedel agrees to transfer any Title Documents for the Caboose to County and will further turnover to the County any other documentation relative to the Caboose such as Insurance documents, historical information concerning the Caboose and repair/renovation records. Riedel further represents to County that is full and legal authority to donate the Caboose to County and transfer full and complete ownership of the Caboose to County. ARTICLE III County agrees that in the event the County no longer desires to retain ownership of the Caboose and/or has made a decision to dispose of the Caboose as salvage or unusable County property, County will first contact Riedel and provide Riedel with the first right to re-acquire the Caboose conditioned up removal of the Caboose from its current location within 90 days of the date Riedel elects to exercise this right to reacquire.

ARTICLE IV With the exception of those circumstances described in Article III above, the Caboose is to remain in its current location. ARTICLE V This agreement is effective as of the date of the last signatory hereto. AGREED: RIEDEL FAMILY PARTNERS, LTD.
