TAX ABATEMENT Agreement W�, the
City Commission of the City of Ennis, Texas (the "City") adopted Ordinance No.
03-05-06 on second reading on June 2, 2003, granting Sterilite Corporation of Texas (the "Company") an industrial tax abatement, as authorized by State law, for economic reinvestment as set forth in the company's tax phase-in application, which said application has been approved and is incorporated herein for all purposes; and,

said Ordinance requires a written agreement by and between the City and the Company
regarding the duration of exemption and share of taxable value exempted;
J\f(lUt W�, pursuant to said Ordinance the City and Company hereby agree as follows: Beginning of Exemption:
Upon completion of the improvements as set forth in the Company's application, on or before the 1st day of March 2004.
Duration of Exemption: Seven consecutive tax years. beginning with the January 1 assessment of the year in which the improvements are completed.

Share of Taxable Property Exempt: Taxable real and personal property as defined in the Texas Property Tax Code (excluding personal property inventory as defined in said code) the amount of which must equal or exceed $11,000,000 to qualifY for a percentage of abatement at 75%.
Tax Recapture: If the applicant for tax abatement/ails to make the investment or improvements herein described or fails to maintain the minimum employment numbers herein required, the City, pursuant to the Texas Tax Code, reserves the right to recapture all prior taxes abated and all tax revenue lost subject to this Tax Abatement Agreement. All provisions of the Ordinance creating the abatement regarding tax recapture and those found in Chapter 312 of the Texas Tax Code are incorporated into this agreement for all purposes. Company agrees to abide by all requirements contained in Section 8 of Ordinance 03-05-6 which is incorporated into this agreement for all purposes.
