It is often said that putting the contract together takes far longer than selecting the supplier and finishing negotiations – but it doesn’t have to be that way. Having worked on very large deals (e.g. IT contracts over $100M each), Dalip and Anne will share some of their Best Practices based on extensive experience and research. The intersection of legal and procurement can either add lots of time and effort and delay the deal or in extreme cases stop it from happening altogether. In this session, you will learn how to create synergy and integration between the legal and procurement functions and processes, how to identify the real Stakeholders and their real desired outcomes to generate long term value. You will also learn the criticality of not just focusing on the pre-nuptial (the contract) and prepare for a successful marriage (the relationship).

7:00 to 8:30PM: Session II TOPIC: INTELLECTUAL PROPERTY RIGHTS IN PROCUREMENT CONTRACTS Speaker: Mark Weis
The intellectual property (IP) license grant, IP indemnification provisions, and limitation of liability clauses in procurement contracts can be intimidating to understand and negotiate. Understanding a few basics, however, can allow supply management professionals to negotiate such provisions with confidence! Having negotiated licensing deals with valuations in excess of $100M, that included global users, both employees and non-employees, Mark will share some of his experiences and the strategies he has developed over the years to ensure such use, access and benefit are not only provided for in the contract, but that such authorized use, and users, are protected from third party claims of IP infringement. In this session you will learn the importance of identifying who will need to use, access and benefit from licensed technology in a procurement contract, as well as the importance of obtaining intellectual property indemnification from the supplier to cover all authorized use, and users. After the session, attendees will have an understanding of the IP license grant, IP indemnification, and the limitation of liability clause as well as and how they affect each other to allow the attendee to draft and negotiate such provisions to protect both the organization and the authorized users. 8:30PM: Adjourn

MARK D. WEIS is a seasoned Patent Attorney and expert in intellectual property law and licensing agreements. He brings his intellectual property and licensing knowledge to the corporate classroom in interactive workshops that are easily understandable and provide useful strategies to get deals done in a logical fashion. Mr. Weis has practiced intellectual property, contract and business law for almost 15 years. He has given public and in-house presentations on topics addressing contractual issues in Business, Contract, and Intellectual Property Law. Mr. Weis is a practicing Patent Attorney specializing in the areas of intellectual property, licensing, business contracts, and day to day business/legal matters. He provides contract preparation, review and negotiation for his clients. He has published articles on contract, business, and intellectual property law and has been published in The Corporate Lawyer.
