Yes, we would like to participate in the 17th Annual Seven Springs Brewski Festival, Friday and Saturday, April 27 and 28, 2018. The event will take place in the Ski Lodge on Friday from 7:30 to 11 p.m. and Saturday evening from 7 to 10:30 p.m. Set-up will be from 12 p.m. to 5 p.m. on Friday. BREWSKI AGREEMENT The Parties This Agreement is between Seven Springs Mountain Resort, Inc., its owners, officers, employees, representatives, and agents ("Seven Springs") and____________________________________("Brewery/Distributor"). Background Seven Springs hosts an annual Brewski Festival. At this festival, breweries and/or distributors can lease space and serve beer to guests. Brewery/Distributor wants to lease space and serve beer to guests at the Brewski Festival. Seven Springs and Brewery/Distributor believe it will be helpful to have a written agreement setting forth their respective responsibilities.
Terms and Conditions In exchange for the mutual promises set forth below, Seven Springs and Brewery/Distributor agree: 1. That Seven Springs will consider Brewery’s/Distributor’s application to participate in the Brewski Festival. All applications must be accompanied by a copy of a certificate of liquor liability insurance (covering the festival, and also covering Brewery’s/Distributor's off-site activities) naming Seven Springs as additional insured. Brewery’s/Distributor’s application must be sent to Jake Frieri, Seven Springs Mountain Resort, 777 Waterwheel Drive, Seven Springs, PA 15622. 2. For those Breweries/Distributors whose applications are accepted, Seven Springs will provide space in the Ski lodge for the Brewery/Distributor to serve their beer. Seven Springs may terminate this Agreement without refund, direct Brewery/Distributor to immediately discontinue all activities related to the display, marketing, or consumption of beer, ban Brewery/Distributor from Seven Springs premises, and have Brewery’s/Distributor’s property and materials removed at Brewery’s/Distributor’s expense, if Seven Springs determines, at its sole discretion, that Brewery/Distributor has failed to comply with rules and instructions pertaining to the festival, or that Brewery/Distributor has or is about to engage in unlawful conduct, or conduct which reflects poorly upon Seven Springs. 3. Chairs, tablecloths, and skirting will be provided by Seven Springs if needed by the Brewery/Distributor. Brewery’s/Distributor’s may use their own tables, tablecloths, skirting and chairs. 4. Brewery/Distributor waives all rights to bring any claim against Seven Springs for, and release Seven Springs from all liability for economic loss due to damage, or theft of property Brewery/Distributor may suffer during the period that Brewery/Distributor participates in the festival. Brewery/ Distributor understands and acknowledges that this waiver and release encompasses claims based on the negligence of Seven Springs. It is Brewery’s/Distributor’s intent that by signing this Agreement, Brewery/Distributor is giving up the right to sue Seven Springs even if Brewery/ Distributor believes that its losses were caused by some negligent act or omission by Seven Springs. It is also Brewery’s/Distributor’s intent that this waiver and release apply at all times during the festival, regardless of whether Brewery/Distributor is engaged in activities related to the festival at the time that the loss occurs. 5. Brewery/Distributor will indemnify, defend, and hold Seven Springs harmless for all liability for any claims brought against Seven Springs where such claims arise out of or relate to: (1) injuries suffered by any employee, agent servant, or representative of Brewery/Distributor while such person is at Seven Springs on the dates that Brewery/Distributor is participating in the festival, regardless of whether such person is, at the time of his/her injury, engaged in work, personal, or recreational activities; or, (2) injuries suffered by any person alleging that his/her injuries were caused, in whole or in part, by the negligent, grossly negligent, or intentional acts or omissions of Brewery/Distributor , or any employee, agent, servant, or representative of Brewery/Distributor. 6. Brewery/Distributor will comply with the instructions, rules, and regulations of Seven Springs pertaining to the festival, as well as any additional instructions, rule, and regulations which Seven Springs may disseminate. Failure to do so is grounds for immediately termination of this Agreement, without refund. 7. Brewery/Distributor is solely responsible for complying with all laws pertaining to the conduct of Brewery’s/Distributor’s business; including, but not limited to, Federal, State, and local tax laws, and state, county, and municipal laws, statutes, regulations, and ordinances pertaining to the marketing and sale of alcoholic beverages. 8. The parties agree that this Agreement is to be governed by Pennsylvania Law, and any disputes arising out of or relating to this Agreement shall be litigated in the Court of Common Pleas of Somerset County, Pennsylvania.
