DePaul University ISACA-DePaul Student Organization Constitution The ISACA-DePaul Student Organization is dedicated to providing student members greater career insight and networking opportunities in the areas of information security, information assurance, IT risk management, IT audit, IT compliance, and information systems. The organization is recognized by ISACA International and supported by the local ISACA Chicago chapter.

ISACA (Information Systems Audit and Control Association) International is a leading professional association focused on IT governance, including IT audit, IT risk management, IT compliance, and information security management. ISACA publishes a widely-used industry framework for IT governance called COBIT, administers popular professional certifications CISA (Certified Information Systems Auditor) and CISM (Certified Information Security Manager), is headquartered in Rolling Meadows, Illinois, and has approximately 90,000 members worldwide.

The objectives of the ISACA-DePaul student organization are to:

1. Develop relationships and a channel of communication between DePaul students and industry professionals working in relevant fields 2. Supplement classroom learning with greater career insight by inviting guest speakers and by interacting with professionals at events sponsored by ISACA-Chicago 3. Provide a means for DePaul students who share similar or interdisciplinary career interests to build a network with fellow students 4. Raise the visibility of information security and compliance curriculum at DePaul to both students and prospective employers in Chicago and nationwide

Article I

NAME OF THE ORGANIZATION ISACA DePaul Student Organization

MEMBERSHIP Membership in this organization is open to all DePaul students who are in good standing with the University (have a cumulative GPA of 2.5 or above), faculty members and staff members at DePaul. Membership will not be

restricted on the basis of race, color, ethnicity, religion, sex, sexual orientation, natural origin, age, marital status, physical or mental disability, parental status, housing status, source of income, or military status. Article III

GENERAL OPERATIONS A. Meeting Schedule 1. Executive Board Meetings will be scheduled at least once per month. At least 5 days notice shall be given for each regular meeting of the organization. 2. Any elected officer can call special meetings with not less than 2 days notice. The purpose of the meeting must be stated in the call. B. Procedure, Election and Voting 1. The Rules contained in the current edition of Robert’s Rule of Order Newly Revised shall govern the ISACA DePaul organization in all cases to which they are applicable. 2. An annual election will be held during Spring Quarter. There may also be a Fall Quarter election for any vacant positions. The newly elected board will work with the out-going board during a transition period. 3. Elected Officers may serve a maximum of one year. 4. Voting a. Voting is restricted to matriculated, currently enrolled students at the DePaul University. b. Officers must be elected by paper or electronic ballot. c. Officers will be elected by plurality vote. d. The term of office shall begin on a pre-determined date and continue for up to one year, unless an Officer chooses to relinquish his or her position or unless the Officer is removed from office by a two-thirds vote at a general meeting. C. Attendance 1. President, Vice President, Treasurer and Secretary shall preside at all meetings.

Article V

RESIGNATION OF OFFICERS A. If a vacancy should occur in the office of President, the vacancy shall be filled by the Vice-President. If a vacancy should occur in any other office, the vacancy shall be filled by an interim Board Member or an existing Board Member can fill the vacated role until the next election. regular Board meeting. A Board Member must submit a letter of resignation to the Board at least two weeks in advance of the effective date if he/she chooses to relinquish a position. The Faculty Advisor must give at least one academic quarters notice if resigning. A new DePaul faculty in a similar field will be asked to serve as Faculty Advisor, based on a majority vote by the Board Members until the next election. If an Officer’s membership shall for any reason terminate, that individual’s position as Officer shall automatically become vacant. In extreme circumstances such as criminal activity or misappropriation of club funds, the Faculty Advisor can remove that Board Member immediately. Such removals will be validated by the Board at the next meeting.

Article VI

COMMITTEES A. The President may appoint, with the approval of a majority of the Officers, any committee within ISACA-DePaul Student Organization.

Article VII

DISCIPLINE AND IMPEACHMENT PROCEDURES A. Officers shall report absences to the President at least 24 hours in advance. In the event of an emergency, Officers shall notify the President as early as possible. B. Members shall inform the appropriate Executive Board member before the meeting start, so that absences may be properly recorded in organizational minutes. C. More than four unexcused absences from Board Meetings per academic year are grounds for impeachment at the discretion of other Board members. D. If it is determined that an Officer’s performance is not fulfilling the position requirements, the Officer can be impeached with majority vote. E. Automatic Expulsion- Any member may be automatically expelled from the organization in the event of: a. Failure to comply with the ISACA-DePaul Attendance Policy. b. Failure to maintain a GPA of 2.5. c. The member is no longer a DePaul student. F. This policy shall apply to all Board Members.

Article VIII

ADVISORS A. The Advisor shall be a full-time faculty or staff member at DePaul University. 1. Serve as a mentor and primary faculty contact for Board Members, and provide assistance toward achieving the

student organization’s goals Actively manage the relationship between ISACA-DePaul and ISACA International, and between ISACA-DePaul and ISACAChicago Assist the Board in identifying prospective speakers Pass on to the Board information received from DePaul students, faculty, and staff that is relevant to this student organization. Facilitate longevity of the student organization, for example, as out-going Board Members graduate and new Board Members are elected.

EXECUTIVE BOARD POSITIONS Each Executive Board position has the following responsibilities: A. President 1. Act as Chief Executive Officer to ISACA-DePaul Student Organization. 2. Preside at all meetings. 3. Meet regularly with the Faculty Advisor as designed by the Advisor. 4. Actively promote unity within the Executive Board. 5. Act as the primary contact to all outside professionals for potential meetings, seminars, and presentations. 6. Call or cancel meetings when appropriate. 7. Work with the Faculty Advisor to oversee and maintain contact with the ISACA-Chicago Chapter. B. Vice President 1. Act as President if President is unable to attend meetings or functions. 2. Attend all ISACA-DePaul meetings. 3. Organize all social events and increase ISACA-DePaul membership. 4. Assist the President with meeting and developing relationships with new contacts. 5. Assist the Treasurer in documenting and reporting financial information. 6. Coordinate the annual calendar. C. Treasurer 1. Communicate bi-weekly with the Executive Board and Advisor on the financial standing of the ISACA- DePaul organization. 2. Attend all ISACA-DePaul meetings. 3. Maintain and report the status of the ISACA-DePaul budget, including monthly communication of the current budget. 4. For amounts less than $100.00, the Treasurer must coordinate with the Advisor on the return of ISACA reimbursements within 5

business days of receiving all necessary paperwork, and must process the reimbursements. 5. For amounts greater than $100.00, the Treasurer must coordinate with the Advisor to submit reimbursements to the procurement office within 10 business days of receiving all necessary paperwork, and process the reimbursements. 6. Coordinate with the Advisor with the handling of purchase orders, travel requests numbers, and obtaining voucher checks. 7. Responsible for creating and maintaining an on-campus DePaul bank account. 8. Responsible for creating, maintaining and allocating a yearly budget. Maintain previous year’s financial records. 9. Present a yearly budget to the Executive Board to be approved. 10. Responsible for authorizing funds equal to or less than all allocated quarterly amounts. 11. Comply with all DePaul standards for procurement and donations. D. Secretary 1. Attend all ISACA-Chicago meetings. 2. Record the minutes of the Meetings and distribute them to Executive Board Members within two business days. 3. Organize and assist with coordinating the annual calendar. 4. Coordinate the ISACA monthly calendar of events. 5. Maintain files with attendance and minutes and serve as a historian. 6. Reserve facilities for meetings and notify members of said reservations. Article X

DISSOLUTION If difficulties arise in the operation of the ISACA-DePaul, discussions should be held with the Faculty Advisor and the Academic Relations Coordinator in an effort to resolve the problems. After such discussions, if dissolution of the ISACA-DePaul becomes inevitable, the ISACA-DePaul must follow DePaul’s bylaws and protocol to properly dissolve the student group.

Article XI

AMENDMENTS TO CONSTITUTION 1. This Constitution may be amended by a majority vote of the Officers. 2. The Constitution shall become effective immediately after approved by the majority vote and Joshua William, Program Coordinator for Student Organizations. 3. When changes are made to the ISACA Constitution the proper notification must be given to DePaul University.
