Contract The following is a Letter of Agreement for (Provider’s Name) to initiate and manage a Past Customer Renewal campaign for (Client’s Name). (Provider) agrees to: 1. Assist with and supply the marketing plan for reinstating inactive customer accounts with Client. 2. Draft the Customer Reactivation Campaign Letter. 3. Assist Client in finding a topic for reactivated customers’ gift report. Hire a writer to research and draft the report for reactivated customers. 4. Assist in the location of a mailing house to draft and send the Reactivation Letter. 5. Determine the most beneficial mailing date. 6. Consult with Client on the best discount rate for reactivated clients. (Client) agrees to: 1. Provide a list of inactive customers who haven’t been contacted within the past 6 months to 2 years. 2. Consult with (Provider’s Name) on the types of topics inactive customers would be most interested in for their gift report. 3. Assign an employee to act as a liaison between the company and the writer who will draft the gift report. 4. Assign the company’s Web Developer the project of creating a Web site where customers may download the report. From that Web site, we will measure the campaign’s impact. 5. Pay (your name or company name) the agreed upon retainer of $_______ to initiate work on the campaign plus ___% of the net profits that are produced by the campaign. The retainer fee is due before starting the project and the additional campaign profits shall be paid monthly until the campaign is complete. All costs associated with setting up and maintaining the campaign is the Client’s responsibility. Both parties agree to: 1. Use arbitration to resolve any conflicts. The ruling of the arbitrator (based on the rules of the American Arbitration Association) will be binding, and all arguments will be conducted in (the U.S. state where business is being conducted).
