ARTICLE I ‐ ORGANIZATION SECTION I – NAME: The travel baseball organization existing under these By‐Laws shall be known as the Fulmont Force Baseball Club (hereafter called the “Club”). Travel baseball teams associated with the Club will be known as the Fulmont Force. The principal address of the Club shall be: Fulmont Force Baseball Club, Inc. PO Box 433 Broadalbin, NY 12025 SECTION II – PURPOSE: The purpose of the Club shall be to foster interest and participation in travel baseball throughout a majority of the Greater Fulton and Montgomery County region. The club’s mission is to provide instructional and enjoyable baseball experiences in conjunction with school‐level baseball programs and local Little League programs, and to assist players in developing characteristics of good sportsmanship and teamwork, improving baseball fundamentals and strategies, and nurturing a love for the game of baseball, while playing at challenging, competitive, and appropriate competition levels. In accordance with Section 501(c)(3) of the Federal Revenue Code, the Club shall operate exclusively as a non‐profit, educational organization, providing a supervised program of travel baseball. No part of the net earnings of the club shall benefit any Executive Board officer or Club member. SECTION III – SANCTIONING: The Club will be sanctioned for play through the Empire State Baseball League, Inc., of Albany, NY, and the organizations to which it is affiliated. If a change of sanctioning of the Club is requested, it must be proposed at a general membership meeting, and be approved by a majority of the Executive Board. Sanctioning of any team belonging to the Club may be expanded by the Board of Directors including duplicate sanctioning, when done for insurance, tournament entry, or other reasons not affecting the Club team rosters during the regular season. SECTION IV – MEMBERSHIP: Membership in the Club is available to all players residing in Fulton County, Montgomery County, and the surrounding region (participation of any and all players is subject to review by the sanctioning organization). Parents and/or guardians of these players, and any adult volunteer committed to strict adherence to these By‐Laws and any additional regulations put in place by the Executive Board, will be granted general membership as well. Membership and participation in the Club will remain free from all discrimination based on race, religion, color, gender, age, national origin or ancestry, marital status, parental status, sexual orientation, disability, or status as a veteran.

The following classes of membership will exist:
Executive Board Members – these members are elected yearly to the Executive Board by the general membership. The decision‐making authority of the Club rests with the Executive Board. General Members – any qualified adult interested in actively promoting and supporting the Club and Club activities. General membership includes managers, coaches, team volunteers, and other adults as allowed by the Executive Board. Player members – any player currently listed on the active roster of any travel baseball team affiliated with the Club.
Club members can be suspended or expelled by a majority vote of the Executive Board, provided adequate proof of conduct detrimental to the mission of the Club is present. Written notice of the intent to suspend or expel must be provided to the member by the Club president at least ten (10) days prior to the meeting at which the suspension or expulsion is to be brought up for vote. Said member must be given the opportunity to respond, either in writing or in person, prior to a vote on the individual’s membership status by the executive Board. SECTION V – AMENDMENTS: These By‐Laws may be amended, repealed, or altered in whole or in part by a majority vote of the Executive Board at any duly organized meeting, provided notice of any proposed change is included in a posted agenda of such meeting.
ARTICLE II ‐ GOVERNMENT SECTION I – POLICY: All matters concerning interpretation of the By‐Laws and matters of finance of the Club shall be decided by a vote of the Executive Board, and no motion shall be carried without a favorable super‐majority vote (i.e. 4 of 5, 5 of 6, 5 of 7) of the Executive Board at a duly constituted meeting. SECTION II – EXECUTIVE BOARD: The Executive Board shall consist of no less than five (5) and no more than seven (7) members, elected at the annual meeting of the General Membership, held in August of each year. The management of the affairs of the Club shall be vested in the Executive Board. The members of the Executive Board shall be as follows: President, Vice President, Treasurer, Secretary, Coaching Coordinator, Fundraising Coordinator, and Player Recruitment Coordinator. If during any year there are less than seven (7) Executive Board members, the roles of Fundraising Coordinator and/or Player Recruitment Coordinator will be shared by existing members of the Executive Board. The Executive Board may employ the services of legal counsel if necessary.

SECTION III – ROLES OF THE EXECUTIVE BOARD: Each member of the Executive Board is tasked with specific responsibilities aligned with the mission of the Club. Those responsibilities are as follows: The President shall:
Act as the Chief Executive Officer of the Club Preside over all meetings of the Club Maintain general supervision of Club teams and staff Execute contracts on behalf of the Club Ensure the Club teams adhere to any and all regulations placed upon them by sanctioning organizations Vote on matters only in the event of a tie amongst the members of the Executive Board Be authorized to counter‐sign checks
The Vice President shall:
Assist the President in any and all duties Perform the duties of the President at meetings in the absence of the President Maintain a procedure manual, which includes any regulations added as addendums to the Club’s By‐ Laws Perform other duties as assigned by the Executive Board
The Treasurer shall:
Provide oversight over all bank accounts and financial records, and control the flow of funds for the Club, including investments, receipts and disbursements. Sign all checks and approve all disbursements according to Club regulations Present a financial report to the Executive Board at meetings Prepare an annual budget, submitted at a general membership meeting each January Maintain records of the fee status of each player, and communicate information to team Managers and the Executive Board
The Secretary shall:
Record all activities of the Club, proceedings of meetings, and maintain appropriate files, mailing lists, and necessary records Handle all correspondence to and from the Club, including filing of any documents with the sanctioning body or other organization Present meeting minutes and agendas in cooperation with the Club President
The Coaching Coordinator shall:
Act as the communication liaison between team Managers and Coaches, and the Executive Board Ensure that all Managers and Coaches consistently adhere to all Club guidance regarding professional conduct Provide training opportunities for coaching staff members and provide information on any and all instructional methodologies specifically approved by the Executive Board

The Fundraising Coordinator shall:
Manage any and all fund raising efforts to provide a strong fiscal standing for the Club Communicate with team Managers to ensure adequate participation in fund raising efforts Actively solicit local businesses and other community organizations for sponsorships and donations
The Player Recruitment Coordinator shall:
Communicate with local Little League programs and school level programs to enlist interested players Organize player registration dates Maintain proof of age records for all players on Club teams Promote the Club and Club activities throughout the region
SECTION IV – MEETINGS: Meetings of the General Membership will be held quarterly. Meetings are planned for August (annual meeting and fall travel ball planning), November (spring travel ball planning), February (finalize spring travel ball), and June (post‐season recap). The Executive Board can adjust the General Membership meeting schedule as becomes necessary. The Club President may assemble the Executive Board on additional dates to conduct formal business. Meeting agendas will be managed by the Club President. Every Club meeting agenda will consist of at least the following items:
Call to Order Approval of Meeting Minutes Comments from the General Membership Report from the Club President Report from the Treasurer Report from other Executive Board Members Current Business New Business Adjournment
Any General Member or Player Member in attendance at a meeting shall be given an opportunity to speak if so desired, at no less than one time during the meeting, as set forth in the meeting agenda. The “Comments from Members” portion of the meeting may have a speaking time limit imposed by the Club President so as to provide efficiency in meeting structure. Meeting agendas and conversations shall follow Roberts’ Rules of Order. SECTION V – QUORUM: A quorum of the Executive Board shall consist of a majority of the current Executive Board members at a duly constituted meeting.

SECTION VI – TERMS OF OFFICE: The term of office for all Executive Board members shall be one (1) year beginning September 1st and ending on August 31st to coincide with the fiscal year. Executive Board members will be nominated and elected at the Annual Meeting.
ARTICLE III ‐ FINANCE SECTION I – BANKING: The Club shall utilize NBT Bank of Broadalbin, NY, for all fiduciary activity. The Treasurer and President are the authorized administrators of the Club’s bank accounts. SECTION II – FISCAL YEAR: The Club’s fiscal year shall be September 1st through August 31st. SECTION III – FINANCIAL PROCEDURES: The Executive Board shall decide all matters pertaining to the finances of the Club. It shall place any and all income in a common set of bank accounts and/or approved investment outlets. The Club’s financial activity and expenditures shall be fair, transparent, and equitable to the extent possible. All donations to or collections made by any Club team must be deposited to the Club bank accounts through the Treasurer. This however, does not prohibit, in certain Executive Board approved circumstances, sponsorship of a certain team or teams in regard to tournament play or the like, provided that the sponsorship funds are deposited to and drawn from the Club treasury. The Executive Board will not permit the solicitation of funds in the name of the Club unless all funds so raised are deposited into the Club treasury. The Executive Board shall not permit the disbursement of Club funds for any purpose other than the conduct of Club activities. No Executive Board member, general member, or player member, shall receive any salary or compensation for services rendered in the capacity of Executive Board member, General Member, or Player Member. SECTION IV – REVENUE: Revenue necessary for operation of the Club may be derived from gifts and donations, approved fundraising efforts, and player participation fees. Any and all funds generated through approved revenue procedures must be deposited and recorded in the Club’s fiduciary accounts through the Treasurer.
Gifts and Donations – Active Club members may solicit gifts, donations, and sponsorships upon the approval of the Executive Board. Fundraising – All fundraising efforts are to be managed by the Fundraising Coordinator. Managers, coaches, and players will all have some responsibility to participate in fund raising efforts of the Club. Player Participation Fees – Each player assigned to a Club team is responsible for paying the player participation fee. The player fees for each season are to be transparent to Club members and supported with itemized detail (Appendix I – Player Participation Fees). There are to be separate fee structures for spring travel baseball, tournament play when necessary, and fall travel baseball. Due

to variable costs in equipment and supplies and contractual expenses, the player fee for any Club team may change yearly. Financial hardship cases will be reviewed and scholarship determined by the Executive Board. SECTION V – INSURANCE: The Club shall enter into a yearly agreement for the provision of appropriate liability and accident coverage through Robert J. Hoy Agency of Broadalbin, NY. Breadth and depth of coverage are determined by the Executive Board in conjunction with the insurance broker. The Club’s insurance policies will cover all Club teams for all sanctioned baseball games, approved practices and practice locations, and other club activities as authorized by the Executive Board. SECTION VI – AUDITS: If and when requested by the Executive Board, the Club shall contract with an independent auditor to provide an analysis of the Club’s financial records.
ARTICLE IV – BASEBALL ACTIVITIES SECTION I – SEASONS: Teams representing the Club will be authorized to participate in spring and fall baseball seasons in cooperation with the Club’s sanctioning body. As requested by team managers, the Executive Board may approve any tournament participation outside of regular season schedules on a case by case basis. SECTION II – TEAMS: The Club will aspire to field one or more teams at each of the following age levels: 8U, 9U, 10U, 11U, 12U, 13U, 14U, 15U, 16U, 17U, 18U, depending on participation and schedule availability. The Club will continue to explore opportunities for older players as the need arises. Player eligibility will be determined according to the player’s age as of May 1st of any given year. For example, for a player to be eligible to play on a 12U club team, such player must be age 12 or younger on May 1st of that year. Depending on participation levels and player ability, the Executive Board may allow a player to “play up”, and be placed on a roster at a level above that which is age‐appropriate for that player. In rare circumstances, a player may be allowed to “play down”, and participate on a team at an age level below that which is age‐appropriate, with prior approval from the Executive Board. It is to be understood that any player allowed to “play down” will not be able to play the positions of catcher or pitcher while on a roster at an age level below that which is age‐appropriate for that player. Final roster decisions are the responsibility solely of the Executive Board.

SECTION III – MANAGERS AND COACHES: Prospective managers and coaches are required to submit the Volunteer Coaching Application (Appendix II – Volunteer Coaching Application) for each team and season in which they choose to volunteer. Managers and coaches at each age level will be appointed annually by the Club President after a review of the volunteer application submissions. Manager and coach appointments must be approved by the Executive Board. All managers and coaches are subject to background checks, and may be disqualified from participation based upon the results of these inquiries. Managers and coaches may not receive any financial compensation for their participation. However, the Club Treasurer shall be authorized to provide Club‐authorized attire (i.e. baseball caps, coaching shirts, etc.) to team managers and coaches, provided the total cost of such attire is less than or equal to seventy‐five dollars ($75) per fiscal year. Managers and coaches are required to adhere in whole to the Club Code of Conduct (Appendix III – Code of Conduct). Any disregard for the Code of Conduct by managers or coaches shall be met with swift and appropriate disciplinary action as determined by the Executive Board. Additionally, managers shall be ultimately responsible for their team’s conduct while participating in Club activities. Club teams will be limited to one manager and three coaches per season. Ultimate responsibility and decision making authority of any Club team rests with the Manager. (See Appendix II – Volunteer Coaching Application – for roles and responsibilities of Managers and Coaches) SECTION IV – PLAYERS: The players are and will forever be the cornerstone of the Club, and consistent with the Club’s mission, every effort must be made to accommodate every eligible player interested in being a Club member.
Player Registration – interested players must apply to participate on a Club team (Appendix IV – Player Registration Form) prior to participating in any Club event other than open gym or player evaluation activities. In order to be eligible to register for membership with the Club, the player must be a participant in a community baseball league where available. Refusal to participate in a school level or local community league may disqualify the player from membership in the Club. Non‐Refundable Deposit – a deposit of twenty‐five dollars ($25) must be submitted along with a player application. This deposit guarantees that the player will be placed on an age‐appropriate team roster. Without the deposit, a player application is considered incomplete, and may result in a player not being placed on a roster. In the event that the Club cannot field an age‐appropriate team for a registered player due to lack of participation, the Executive Board is authorized to refund the deposit of such player(s). Other requests for refunds of deposit will be addressed on a case‐by case basis by the Executive Board. Player Evaluations – the Club will provide opportunities in the fall and winter of each year for interested players to train and be evaluated by members of the Executive Board and prospective team managers for the purposes of roster planning. Player skill will be one of the criteria upon which roster selections will be made. Team Placement – ultimate authority for the constitution of team rosters rests with the Executive Board. The Executive Board will strive to utilize the following general methodology, in order of priority, for placing players on Club team rosters: i. Age – the main component of roster selection is player age as of May 1st of any given year (see Article IV, Section II).

ii.
School District of Enrollment – as an organization committed to preparing youth baseball players to be successful in their respective school‐level programs, every effort will be made to place players enrolled in the same school together on a travel baseball team. iii. Player Ability – The Club strives to provide the most competitive atmosphere for its travel ball players, as well as foster the highest level of interest possible. Placing players on teams where they have the highest probability of personal success as well as team success will drive the growth of the Club’s baseball program. iv. Other Circumstances – necessities for player placement based on accentuating circumstances will be extremely rare, and each such request will be addressed by the Executive Board and ruled strictly on a non‐precedent setting case by case basis. Player Conduct – Club players are expected to represent the Club with respect and professionalism at all times, on and off of the baseball field. Every Club player must adhere specifically to the Code of Conduct. Player violations of the Code of Conduct will result in suspension and or expulsion from the Club, as determined by the Executive Board, upon the recommendation of the team manager. Uniforms – each Club team player will be responsible for the following attire: uniform undershirt, belt, socks, and appropriate footwear. Uniform jerseys, baseball pants, and hats will be provided as part of the cost of participation and are included in the player registration fee.
SECTION V – RULES OF PLAY: Club travel teams will play according to the rules of the Cal Ripken Baseball for the age groups of 15U and under. Teams above the 15U level will play according to the rules of Senior Babe Ruth, Mickey Mantle, or Connie Mack programs, depending on league or tournament affiliations. SECTION VI – UNIFORMS: The official colors of the Club are Navy Blue, Baseball Grey, Orange, and White. All Club‐sponsored apparel and promotional material will reflect these colors only, unless prior authorization is given by the Executive Board. Club travel players will wear grey baseball pants, navy socks, and a navy belt to all competitions.

Each Fulmont Force team must have 1 manager and 1 coach, but may have up to 1 manager and 3 coaches. All managers and coaches will be volunteers, and will not be financially compensated for their time and effort. All managers and coaches will be selected by the Executive Board, based on recommendations by the club President. A majority vote will be required for selection. All prospective managers and coaches must fill out a Coaching Application and submit it to the club president in a timely manner. All candidates are subject to background checks.

Manager‐The manager will be responsible for the following: a. The manager is responsible ultimately for all baseball decisions during practices, games, and other club functions, including the making of lineups, the distribution of playtime, game strategy, practice plans, and roster decisions. b. The manager is responsible for communicating adequately with all parties involved, including players, coaches, club officials, parents, and the Empire State Baseball League. c. The manager is responsible for the timely building of schedule in accordance with the Empire State Baseball League timeline (This includes score reporting). d. The manager is responsible for team accounting, including the paying of umpires, the purchasing of equipment, and the filing of proper paperwork with the club treasurer prior to and after all expenditures. e. Addressing any concerns with parents, players, or other volunteers that may arise. f. Delegating the above responsibilities to the coaching staff. g. The manager is responsible for assisting with the organizing of and participation in club fund raising. h. The manager is responsible for treating players, parents, coaches, volunteers, league officials, and all other parties involved in the league with decorum, respect, and in a way that represents the values of the club. Coach(es)‐The coach(es) will be responsible for the following: a. Coaches are responsible for supporting the manager in any way possible. b. Coaches are responsible for assisting with baseball decisions, strategies, lineup building, and communication. c. Coaches are responsible for assisting with the organization of and participation in club fund raising. d. Coaches are responsible for individual coaching at opportune times in adherence with the club and managerial philosophy of baseball. e. Coaches are responsible for managing the team if the manager is absent. f. Coaches are responsible for offering ideas and communicating regularly with the manager on and off the field, but also for respecting the fact that the manager has all final say over baseball related activities. g. Coaches is responsible for treating players, parents, coaches, volunteers, league officials, and all other parties involved in the league with decorum, respect, and in a way that represents the values of the club. Volunteers a. Any volunteers to the program other than the coach or manager will serve to facilitate the advancement of the club in the community, but will not have any jurisdiction over baseball decisions. It is important that the manager and coach(es) inform parents or other volunteers that their presence in the dugout or around baseball activities is inappropriate

CODE OF CONDUCT

CODE OF CONDUCT We, the Fulmont Force Baseball Club, have implemented the following Code of Conduct for the important message it holds about the proper role of players, parents, and coaches in supporting Fulmont Force baseball. Parents should read, understand and sign this form prior to their children participating in Fulmont Force travel baseball. Any player, parent, or coach guilty of improper conduct at any game or practice will be asked to leave the sports facility and be suspended from the following game. Repeat violations may cause a multiple game suspension, or the season forfeiture of the privilege of attending all games. Preamble The essential elements of character‐building and ethics in sports are embodied in the concept of sportsmanship and six core principles: Trustworthiness, Respect, Responsibility, Fairness, Caring, and Good Citizenship. The highest potential of sports is achieved when competition reflects these “six pillars of character.” Players, Parents and Coaches shall at all times: 1. Remember that children participate to have fun and that the game is for the youth, not the adults 2. Strive for players in the Club to improve baseball skills, physical conditioning, and knowledge of the game 3. Learn the rules of the game and the policies of the Club 4. Players are expected to maintain an acceptable level of educational achievement 5. Ensure a safe, challenging, and enjoyable environment for practices and competitions 6. Inform the league administration of any physical disability or ailment that may affect the safety of any player or the safety of others 7. Refrain from the use of any drugs, tobacco, and alcohol at any practice or game venue 8. Be a positive role model and encourage sportsmanship by showing respect and courtesy, and by demonstrating positive support for all players, coaches, officials and spectators at every game, practice or other sporting event 9. Refrain from any kind of unsportsmanlike conduct with any official, coach, player, or parent such as booing and taunting; refusing to shake hands; or using profane language or gestures, or throwing equipment 10. RESPONSIBILITIES: By completing and submitting this application, prospective players are vowing strict adherence to the Code of Conduct and a dedication to the Club and their team. Prospective players for spring season travel baseball are required to commit appropriate time beginning with open workouts in January, and carrying through the end of the spring season in June. Fall players are required to commit adequate time for roster development starting in late July, and practices and games through mid to late October.

NOTE: Players are generally recommended to participate on the team appropriate to their age on May 1st of any given year. For example, if the player will be age 12 on May 1st of this year, he should request the 12U team for spring travel. Fall travel teams will use the age appropriate for the following spring season. Every reasonable effort will be made to accommodate each prospective player in regard to team request, but cases in which a player wishes to “play up” on a team an age level above that which is appropriate will be handled by the Club’s Executive Board on a case by case basis. Players will be allowed by the Executive Board to “play down” only in extremely rare cases. Players allowed to “play down” may not pitch or catch on their travel team, and may not be eligible for tournament play.
