PARSIPPANY SOCCER CLUB, INC. CONSTITUTION ARTICLE I – NAME This club shall be known as the “Parsippany Soccer Club, Inc.” (the “Club”). ARTICLE II – OBJECTIVE To develop, promote, and govern the game of youth soccer within the township of ParsippanyTroy Hills, New Jersey. ARTICLE III – MEMBERSHIP Section I There shall be two classes of members: Active and associate. Only active members shall have the right to vote and to hold elective office in the Club. Section II Active members of the Club shall be those parents or guardians whose youth are duly registered with the Club. Associate members shall be players registered with the Club. Section III Volunteer coaches, managers and active volunteers shall also be considered active members. Section IV All members shall abide by this Constitution, all rules and regulations of the Club, and all applicable rules and regulations of the County and State Associations with which the Club is affiliated. The Board of Directors may elect to modify the County and State Association rules for the intramural program. ARTICLE IV – VOTING Section I Active members of the Club shall be entitled to cast one vote on any matter that may come before the general membership. Section II Each member of the Board of Directors shall be entitled to one vote on any matter that may come before the Board of Directors. Section III Voting at all meetings of the Club shall be by show of hands unless a majority of the members vote for a roll call or secret ballot. Section IV Voting at election of officers of the Club shall be by secret ballot if any office is contested. Section V Voting by proxy is not permitted. ARTICLE V – BOARD OF DIRECTORS Section I The Board of Directors shall consist of the Officers and the Directors of the Club. Section II The Board of Directors shall develop policies, rules and regulations of the Club and shall conduct and supervise the affairs of the Club. Section III The Board of Directors shall meet regularly each month, at the call of the President, or on the request of three (3) members of the Board. Section IV A simple majority of the Board of Directors, including at least four (4) officers, shall constitute a quorum at the Board of Directors meetings for the transaction of business.
Section V A member of the Board who fails to attend three (3) consecutive meetings of the Board shall thereby forfeit his/her office as a member of the Board, unless excused by a majority vote of the Board. A replacement shall be appointed by the President for the unexpired term. ARTICLE VI – OFFICERS Section I The Officers of the Club shall be as follows: President, Vice President of Intramural, Vice President of Travel, Vice President of Finance, Vice President of Purchasing, Vice President of Facilities, Registrar, Treasurer, Secretary, and the Outgoing President. The Officers shall be elected for a term of one year at the April Board of Directors Meeting as outlined in Article XII of this Constitution. The outgoing President shall automatically become an Officer. The newly elected Officers shall assume the duties of their office on June 1st of each fiscal year and shall hold it for one year until their successors are elected. Section II The Office of President may not be held for more than two (2) consecutive terms. All other officers can hold the same office for a period not to exceed four (4) consecutive terms. Section III No person may hold two offices simultaneously, except Outgoing President. ARTICLE VII – DUTIES OF OFFICERS Section I The President shall preside at all meetings of the Board of Directors and at the General Membership Meetings of the Club. He/She is empowered to call meetings of the Board of Directors and General Membership Meetings for good cause. He/She shall appoint the Directors as outlined in Article VIII. He/She shall also appoint Chairpersons of all committees and shall become an exofficio member thereof, except he/she shall not be a member of the Nominating Committee. In addition, the President shall be responsible for the daytoday operations of the Club, including but not limited to, coordination with other officers and directors in the discharge of their duties and responsibilities; overseeing initiatives approved by the Board and serving as the primary liaison with the Township of Parsippany Troy Hills and the ParsippanyTroy Hills School District and other governmental and nongovernmental entities. Section II The Vice President of Intramural shall perform all duties of the Office of the President in absence of the President or his/her inability to perform all the duties of the Office of the President. The Vice President of Intramural shall have the overall responsibility to schedule and conduct the intramural program and shall coordinate the activities of the Division Directors and the Director of Referees in accordance with the Rules and Regulations of the Intramural Programs and the Parsippany Soccer Club objective as stated in Article II. The Vice President of Intramural shall also have the responsibility to develop and recommend to the Board, for its approval, rules and regulations of intramural programs of the Club. He/She shall maintain an uptodate file on all approved rules and regulations. Section III The Vice President of Travel shall have the overall responsibility for conducting the traveling team program of the Club pursuant to the guidelines established in the Traveling Team Policy Rules and Regulations and in accordance with the Parsippany Soccer Club objective as stated in Article II. He/She shall represent the Club at the New Jersey State Youth Soccer Association and at any other affiliated associations of which the Club is a member. The Vice President of Travel shall have the responsibility to maintain and recommend to the Board, for its approval, rules and regulations of travel programs of the Club. He/She shall also coordinate all interClub exchanges, visits, tournaments, and other programs that are designed to promote the objective of the Club. He/She shall coordinate the activities of the Travel League Directors. Section IV The Vice President of Finance shall have the overall responsibility for all programs of the Club that are designed to ensure the financial welfare of the Club. He/She shall prepare and submit to the Board the annual budget of the Club and present it for approval at the Spring Season General Membership Meeting. be approved by the Board of Directors. Section V The Vice President of Purchasing shall be responsible for all purchases for the Club. Such purchases shall have been approved by the Board of Directors. The Vice President of Purchasing shall distribute the goods and materials so purchased to the members of the Club for bonafide use and shall safekeep the balance of materials. He/She shall maintain an uptodate record of all goods and properties belonging to the Club and shall report such records at the regular meetings of the Board of Directors. Section VI The Vice President of Facilities shall be responsible for the preparation, maintenance, and repair of all playing/practice fields as well as all other fields for which the Club has requisite permission to utilize such fields to ensure that such fields are suitable for play. In fulfilling these duties, the Vice President of Facilities shall work with the President or his/her designee to coordinate with any authority from which the Club has received permission to utilize designated fields, including but not limited to the Township of Parsippany TroyHills and the Parsippany TroyHills Board of Education. The Vice President of Facilities shall also ensure that all fields have equipment in suitable condition for safe play. The Vice President of Facilities shall also oversee the operation, maintenance and repair of any facility utilized as a Clubhouse. The Vice President of Facilities shall be responsible, with the approval of the Board, for procuring such equipment and services necessary to fulfill his/her duties. Section VII The Registrar shall handle all registrations and shall maintain the official rosters of all teams. The Registrar shall collect all registration fees and forward all monies to the Treasurer, on a timely basis. The Registrar shall inform the Vice President of Intramural and Vice President of Travel of any changes in the roster on a timely basis. The Registrar shall establish all necessary insurance policies, receive all insurance claims and deal with the insurance agent in processing all claims. Section VIII The Treasurer shall collect all revenues and make all disbursements of money consistent with the annual budget of the Club. He/She shall also render a report of all receipts and disbursements at each regular Board meeting. The Treasurer shall make a full report on the finances of the Club to date, at the Spring Season General Membership Meeting. All checks shall be countersigned by either the President or one of the Vice Presidents and the Treasurer. Section IV The Secretary shall keep a record of the proceedings of the Club. The Secretary shall keep records of any important changes or events occurring within the Club and shall keep an uptodate copy of this Constitution and current attendance records. The Secretary shall undertake all correspondence and notification of all regular and special meetings for the Club. ARTICLE VIII – DIRECTORS Section I The President shall appoint, with the consent of a simple majority of Board, the following Directors, and such other Directors as necessary, for the conduct of the affairs of the Club: 1. Division Directors 2. Director of Referees 3. Travel Directors 4. Facilities Director Section II An appointed Director shall assume the duties of their office on June 1st of each fiscal year, or if appointed after June 1st , as of the date of appointment and shall hold it for one year or until the following May 30th at which point the term of the Director shall expire. Directors may be reappointed annually. Section III Directors may be removed for cause only upon the recommendation of the Evaluation Committee and a vote of a majority of the Board. Section IV Each Division Director shall represent one or more age group divisions for which the Club has a program. in his/her Division(s). Division Director shall supervise the activities of all intramural coaches to assure their compliance with all rules, regulations, and guidelines expected of a youth soccer coach as required by the Board of Directors and affiliated leagues. He/She shall also recommend replacement of intramural coaches not complying with the preceding. Section V The Director of Referees shall nominate all intramural referees to the Board of Directors for approval. The Director of Referees shall supervise the activities of all intramural referees to assure their compliance with all rules, regulations, and guidelines expected of a youth referee as required by the Board of Directors and affiliated leagues. The Director of Referees shall also recommend replacement of intramural referees not complying with the preceding. The Director of Referees shall assure that adequate training is provided to all referee candidates. Section VI The Travel Directors shall assist the Vice President of Travel with the oversight and administration of the traveling team program of the Club. Section VII Director of Facilities shall assist the Vice President of Facilities in the preparation, maintenance and/or repair of all fields and facilities utilized by the Club. ARTICLE IX – COMMITTEE Section I The following shall be the standing Committees of the Club: 1. Audit Committee 2. Nominating Committee 3. Public Relations Committee 4. Evaluation Committee Section II Except as otherwise stated herein, the President shall appoint the Chairperson of each standing committee. Section III Each committee shall consist of not less than three (3) members of the Club. The Chairpersons of all committees, except the Nominating Committee, shall have the privilege of selecting members for their committee. Section IV The Nominating Committee shall be appointed by the President subject to the approval of the Board of Directors. The Nominating Committee shall consist of five (5) members who have been active members of the Club for at least one year. They shall be appointed no later than February 1. Section V The Audit Committee shall make a thorough examination of all Club financial transactions and financial accounts at the close of the fiscal year and report to the members at the Fall Season General Membership Meeting. Section VI The Public Relations Committee shall be responsible for newsletters and other publications of the Club, and shall undertake such other activities as to enhance the public image of the Club. Section VI The Evaluation Committee shall be responsible for the regulation and control of appropriate levels of conduct of the membership of the Club. This Committee shall be comprised of the Chairperson, the Vice President of Intramural, Vice President of Travel and two other members of the Board to be appointed annually by the Chairperson of the Evaluation Committee. Matters may be referred to the Evaluation Committee by any member of the Board. Section VII The President may appoint special committees as necessary, for the conduct of the Club’s program. In forming such special committees the President shall inform the Board of the formation, the appointment of a Chairperson and members of said special committee who must be a member of the Board of Directors. ARTICLE X – GENERAL MEETINGS Section I Meetings of the General Membership of the Club shall be held during the Fall Season and the Spring Season. The Spring Season meeting shall be for the purposes of announcing newly elected officers and approving the budget for the forthcoming fiscal year. The Fall Season meeting shall be held to present the annual financial report and the annual report of the previous year and to conduct whatever business needs to be handled. Section II Thirty (30) active members shall constitute a quorum at any General Membership Meeting for the transaction of business. Section III Notice of General Membership Meetings shall be at least two (2) weeks prior to the meeting date. Notice shall be by posting on the Club website and any other appropriate communication methods. Section IV Special meetings may be called by the President for good cause or upon written request of thirty (30) active members. Only the subject for which the meeting is called may be discussed at the special meeting. Special meetings called in this manner shall be considered a General Meeting for the purpose of being consistent with Article X, Section II. ARTICLE XI – EXPENDITURES The Treasurer shall issue checks for all budgeted items with the concurrence of the countersigning officer as required by Article VII, Section VIII. The Treasurer shall, in his/her report at the regular Board Meetings, indicate where and if he/she feels any budgeted category may become over expended. ARTICLE XII – ELECTIONS Section I Officers shall be elected at the April Board of Directors meeting. Section II The Nominating Committee is to consist of five (5) members of the Club and shall be appointed as per provisions of Article IX, Section III. It shall submit to the Board its report of nominations at least three (3) weeks prior to the April meeting. Nominations from the floor may be made. Section III Only active members of the Club shall be eligible to be candidates for an elective or appointed office of the Club. A candidate for Officer must have been an active member of the Club at least one (1) year. Section IV A member nominated by the Nominating Committee need not be present to be nominated. A member nominated from the floor must accept nomination either in writing or in person. An acceptance in writing is valid when delivered to the Secretary of the Club. Section V Elections shall be by secret ballot except in cases where there is “no contest” for the office. Balloting shall continue until the offices are filled. Section VI In the event there is more than one candidate for the same office, the candidate receiving the majority of votes cast shall be the winner. If no candidate receives a majority, each subsequent balloting shall include only those candidates who receive the first and second highest votes in the immediately preceding ballot. Section VII In the event of a vacancy in the Officers or Directors of the Club, the President shall appoint, within (60) days and with the approval of the Board, an active member to fill the unexpired term of such a vacant office. If the vacancy occurs in the Office of the President, the Vice President of Intramural will automatically become the President. Parsippany Soccer Club Updated 11132013

ARTICLE XIII – RECALL An Officer of the Club may be recalled and denied further exercise of his/her office for failure, refusal, conduct unbecoming of the Club or inability to comply with the requirements of the office and the Constitution. Officers may be removed only upon the recommendation of the Evaluation Committee and a vote of a majority of the Board. ARTICLE XIV – FISCAL YEAR Section I The fiscal year of the Club shall begin on the first (1st) of June and end on the thirtyfirst (31st) of May. ARTICLE XV – PARLIAMENTARY AUTHORITY Section I Unless addressed in this constitution, the rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Club. Section II The President shall appoint a Parliamentarian for the Club who shall be the final arbitrator on all parliamentary procedures. Section III The Parliamentarian shall be a member of the Board of Directors subject to the provisions of Article VIII. ARTICLE XVI – NONPROFIT STATUS Section I No asset will be for the personal benefit or use of any individuals. Section II “Upon the dissolution of the corporation, the Board of Trustees shall, after paying or making provisions for the payment of all liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the purpose of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational, religious, or scientific purposes as shall at the time qualify as an exempt organization or organizations under Section 501 (c) (3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), as the Board of Trustees shall determine”. Section III Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under Section 501 (c) (3) of the Internal Revenue Code of 1954 (or corresponding provision of any future United States Internal Revenue Law) or (b) by a corporation, contributions to which are deductible under Section 170 (c) (2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law)”.
