RESIDENTIAL RENTAL AGREEMENT 1. DURATION This lease is for the term of 24 months commencing on the 1st of September, 2017 and ending on the last calendar day of October, 2019. 2. RESIDENTIAL RENTAL AGREEMENT LEASE RENTAL PAYMENTS Rental payments will be paid by ACH wire-transfer or checks payable to CALYPSO PROPERTIES, LLC and mailed to 2219 N Derbigny Suite B, New Orleans, LA, 70117. NSF Checks: The first check returned to CALYPSO PROPERTIES, LLC for insufficient funds will require all rent paid in the future by money order or cashier check. Personal checks will no longer be accepted. NSF fee is Thirty Five Dollars ($35.00). Rent is due on the first (1st) day of the month. At close of business on the fifth (5th) of the month a Ten Percent (10%) late fee will be assessed. To be current, the rent and late fee must be paid / collected together. A Five (5) day late notice is levied by the Court at Twenty-Five Dollars ($25.00) and a notice to vacate is Two-Hundred Dollars ($200.00). Any increase in court cost will be absorbed by the tenant. 5. LIENS AND ENCUMBRANCES Tenant agrees not to allow any liens or encumbrances to the property during the term of this agreement. 6. OCCUPANTS AND PETS No more than two (2) occupants per bedroom and zero (0) Pets. Sonder and all guests to occupy the property. 7. VIOLATION OF LAWS Tenant shall not violate and City ordinance, State law, or other law in or about the property. 8. SUBLETTING Tenant and all guests to occupy the property. Landlord acknowledges that Tenant’s operations entail renting and then subletting the property for periods from less than thirty (30) days to twelve (12) months. 9. TERMINATION/WAIVER OF NOTICE Landlord may terminate this agreement as follows: A thirty (30) day written notice from Tenant must be approved by Landlord unless Tenant fails to pay rent timely; or landlord may find cause for termination of lease. Upon receipt of a written 30 day notice to vacate the premises- the landlord has the expressed right to place the unit on the market and may show the property to prospective tenants with reasonable notice to current tenant. If however, either party breaches any provision of this agreement, the non-breaching party shall have all the rights allowed by state law, including the right to terminate this rental agreement if 2

Upon termination of this tenancy, for any reason the Tenant hereby expressly waives notice to vacate the premises prior to institution of eviction proceedings in accordance with LA. CCP Article 4701 & LA CC Article 2713 and agrees to promptly and peacefully surrender the premises to Landlord. 10. MAINTENANCE Tenant shall maintain the property in a clean and sanitary condition at all times. Tenant is responsible for cutting and maintaining the grass (where grass exists). Tenant shall not do anything on the property that will make violable, or increase the premium for, Landlord’s insurance on the property. Tenant shall not make any alterations to the property or change the locks on the property without the prior written consent of the Landlord. At the termination of the tenancy, Tenant shall surrender the property to Landlord in as good a condition when received, except for ordinary wear and tear. Lessor, at Lessor's expense, shall perform repairs necessary to maintain and keep the Property and all components of it in good working order, suitable for residential use. Lessee, at Lessee's expense, shall immediately repair all damage to the Property caused by Lessee or by Lessee's agents, employees, invitees or customers or damage that, due to the anticipated short term rentals, exceeds the wear and tear attributable to normal single-tenant residential apartment use. If the maintenance issue for which Lessor is responsible arises, Lessee shall contact the Lessor promptly and the Lessor shall promptly provide such maintenance. In the event an urgent (or potentially urgent) maintenance issue arises, Lessee may carry out such maintenance, using Lessor's preferred vendor, if any, and deduct all reasonably incurred expenses from the next rent payment coming due, provided that (a) The repairs were necessary, (b) Lessor failed to act within a reasonable time after being notified and (c) the price paid was reasonable. 11. UTILITIES Landlord represents to Tenant that Landlord owns the property being rented and has the right to rent this property to Tenant. Landlord also represents that Tenant shall have the quiet enjoyment of the property during the period of this rental agreement, and that the property is habitable. Landlord further agrees to supply utilities capable of producing hot and cold running water and adequate heating for the property. The parties will pay for utilities and repairs as follows: Tenant will be responsible for electricity, gas and water plus any deposits required. 12. LIABILITY FOR DAMAGES Tenant agrees to save and hold owner and his agents harmless from any claims for any damages what so ever arising from any cause, including owner’s negligence. Nor shall owner be liable to tenants for any loss or damage to tenant’s property or effects arising from any cause what so ever, including owner’s negligence. Tenant expressly absolves owner and his agents if any and all liability for damages caused by leaking pipes or other causes and does distinctly understand that if such liability is established it is agreed that the amount of damages is $100.00 3

RESIDENTIAL RENTAL AGREEMENT and no more. “Damages” includes any cost and attorney fees that the Landlord incurs in defending any lawsuit or other action. 13. EXPENSES If either party incurs any expenses to enforce any provision of this agreement, including reasonable attorney’s fees, either before or after either party begins an action in a court, the losing party in the suit or action, or the party defaulting on this agreement if there is no suit or action, shall pay the other party’s expenses and reasonable attorney’s fees including attorney’s fee at trial on any appeal of any suit or action. 14. MORTGAGES Tenant agrees that this rental agreement is subordinate to all existing mortgages and other encumbrances on this property at the time of signing this rental agreement. The Tenant also agrees that during the term of this rental agreement The Landlord may place mortgages or other encumbrances on the property, as long as they do not interfere with Tenant’s use of this property. 16. ACCESS Tenant shall allow Landlord reasonable access to the rented property to inspect the property or to repair any portion of the property. Landlord must exercise this right of access reasonably, and shall not use it to harass the Tenant in any way. Landlord shall give the Tenant reasonable notice before inspecting or repairing the property. Landlord may show the property during the 4

If tenant cannot be reached, landlord has the authority to show the property at his discretion. 17. INSURANCE COVERAGE Tenant acknowledges that Landlord is not responsible for insuring any of Tenant’s personal property. 18. DESTRUCTION-EMINENT DOMAIN Landlord and Tenant agree that in the event more than half of the property being rented is destroyed by fire or other loss, or is taken by eminent domain, this rental agreement shall become void at the option of either Landlord or Tenant. 19. COMPLETE AGREEMENT This is the complete and final agreement of the parties regarding rental of the property described in this agreement. This agreement replaces any prior written or oral agreements regarding this property. 20. SECURITY DEPOSIT Zero Dollars ($0) to be refunded upon termination of this rental agreement and after inspection of the property. If any damage is found the cost for repairs will be paid by Lessee within thirty (30) days of vacancy. 21. ADDITIONAL PROVISIONS Each apartment is furnished with the following appliances: Stove, Refrigerator, and Dishwasher 22. SATISFACTION WITH PROPERTY Tenant agrees that he / she has personally inspected the property and finds it satisfactory at the time of signing this agreement. Tenant assumes responsibility for the condition for the leased premises. Tenant has seen the inside of the premises and understands the apartment / house rents in “AS IS” condition. The parties agree that they have not made any promises that this agreement does not contain.
RULES AND REGULATIONS A. TENANT AGREES THAT THERE WILL BE NO SMOKING WITHIN THE WALLS OF THE UNIT. A BREACH OF THIS AGREEMENT WILL CAUSE A FORFEITURE OF THE DEPOSIT. B. MANAGEMENT WILL NOT TOLERATE LOUD PARTIES, DRUNKENNESS, USE OF PROFANITY, ACTS OF IMMORAL CONDUCT, USE OF DRUGS, EXCESSIVE NOISE OR DISTURBANCES, FIGHTS BETWEEN TENANTS OR GUESTS INVOLVING PHYSICAL CONTACT AND OTHER SUCH ACTS WILL SERVE AS BASIS FOR TERMINATION OF RENTAL AGREEMENT.
