Symantec Secure One™ Margin Builder Benefit Terms and Conditions NAM - November 2015

The following Terms and Conditions apply to the Symantec Secure OneTM ("Secure Secure One One") (previously known as the Symantec Partner Program) Margin Builder Benefit (the "Benefit Benefit") for the applicable North America (NAM) Secure One Partners offered by Symantec Corporation (“S Symantec ymantec”). These Terms and Conditions incorporate by reference Symantec’s then-current Benefit overview documentation for the Symantec Margin Builder Benefit published to partners via https://partnernet.symantec.com/ (the “Over Overview view”). 1. Eligible P Partners artners. Subject to the terms and conditions set forth in the following sections, and for such time that Symantec makes available its Margin Builder Benefit as specified in Section 11 (“Benefit Benefit P Period eriod”), Symantec will enable the registration within the Margin Builder Tool of deals for Eligible Products as defined in Section 2. “Eligible Eligible P Partners artners” are those partners who (a) fall into one of the Secure One partner tiers eligible for the Benefit as designated in the Overview from time to time and who during the Benefit Period (b) are in good standing and (c) meet any Symantec competency and training requirements (as applicable) for the Eligible Products defined in Section 2. 2. Eligible Products Products. Symantec will enable the registration of deals for only those Symantec Products as specified in the then-current Overview. The specific SKUs, Symantec certification requirements, and current applicable MSRP price list for the eligible products ("Eligible Eligible Products Products") are published on PartnerNet (https://partnernet.symantec.com). Eligible Partners are required to meet Symantec competency and training requirements (if any) as are applicable at the date of registering the opportunity, for certain Eligible Products, in order for purchases of such Eligible Products to qualify ("Eligibilit Eligibilityy Requirements Requirements") for the Benefit specified in the Overview. 3. Re Regis gistered tered Deal Qualifications Qualifications. For sales deals of Eligible Partner to qualify, an Eligible Partner must register and complete in full and submit opportunity data for each sales deal through the Margin Builder Tool (www.marginbuilder.com). As applicable, Eligible Partner is required to update the registration if the opportunity data should change. All sales deals submitted for registration must meet Symantec's then-current criteria to be eligible for consideration as a registered deal, as indicated on the then-current Overview, available on Symantec's PartnerNet website. 4. Benefit P Pa ayment and Calculation; Reporting Reporting. Upon completion of all requirements associated with registered opportunities of Eligible Products, Eligible Partner shall be eligible for benefits, calculated, provided or paid in accordance with the Overview. Symantec is not liable for or obligated to make any payments directly to Eligible Partner by using the Margin Builder Tool. Any such pricing must be negotiated directly between the Eligible Partner and its Authorized Distributor. Eligible Partner must quote the Margin Builder ID generated by Symantec specific to the individual opportunity to its Authorized Distributor to ensure the Benefit if made available. 5. Compliance with Additional T Terms erms and Conditions Conditions. Failure of Eligible Partner to comply with the additional Terms and Conditions below will, at Symantec's discretion, result in immediate disqualification from further participation in the Benefit. • Eligible Partner must have accepted the Secure One Agreement ("Secure Secure One T Term erm") or the previous Symantec Partner Program ("SPP SPP") Agreement. • Eligible Partner agrees to provide, at the time of deal registration and to update as applicable, the full account and sales opportunity specifics as defined in the Margin Builder registration form posted on the Margin Builder Tool (www.marginbuilder.com).

• Eligible Partner shall only be eligible for the benefits specified in the Overview when purchasing the Eligible Products from Symantec’s Authorized Distributor. • Partner shall not intentionally submit false information for purposes of obtaining program financial incentives. 6. Amendments; T Termination ermination. Symantec reserves the right to vary the terms of this Benefit, including the Eligible Products, Eligibility Requirements, or to withdraw the Benefit upon publishing notice of such amendment or withdrawal at https://partnernet.symantec.com/. In the event of such withdrawal, Symantec will honour the application of any pending Margin Builder Deal IDs according to the then prevailing Overview. In the event of withdrawal of the Benefit, the effective date of withdrawal of the Benefit shall constitute the date upon which notice of such withdrawal is posted at https://partnernet.symantec.com/. 7. Errors and Anomalies Anomalies. Symantec assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction to or unauthorized alteration of the reports or any electronically transmitted information in furtherance of the Benefit. Symantec is not responsible for (i) any problems or technical malfunctions of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software; or (ii) the failure of any e-mail to be received by Symantec on account of technical problems or traffic congestion on the Internet or at the https://partnernet.symantec.com/ or www.marginbuilder.com websites. 8. Confidentialit Confidentiality; y; Use of P Passwords asswords. Eligible Partner acknowledges and agrees that user names and passwords for the PartnerNet (https://partnernet.symantec.com/ ) or (www.marginbuilder.com) websites and the information contained on these websites are confidential and Eligible Partner shall not disclose such information to any third party. 9. Tax axation ation and Accounting Accounting. There may be tax and accounting consequences to Eligible Partner that result from utilizing the Benefit. Symantec will not be remitting any taxes on Eligible Partner's behalf, nor providing Eligible Partner with tax- or accounting-related advice or documentation. Eligible Partner is solely responsible for ensuring that any taxes or accounting treatment arising from Eligible Partner's utilization of the Margin Builder Tool. 10. Inquiries Inquiries. Inquiries concerning this Benefit should be sent by email to: [email protected]. 11. Benefit P Period eriod. Symantec shall make available the Benefit (and enable the associated benefits) from the date of acceptance of these Terms and Conditions and will continue until terminated in accordance with the provisions of Section 6. 12. Relationship of the P Parties arties. These Terms and Conditions do not authorize the Eligible Partner to purchase Symantec products, including but not limited to Eligible Products, directly from Symantec. Eligible Partner shall remain an independent contractor and these Terms and Conditions in no way create a partnership, joint venture or alliance between the Eligible Partner and Symantec or any joint liability. Eligible Partner will not have, and will not represent that it has any power, right or authority to bind Symantec or to assume or create any obligation or responsibility, express or implied, on behalf of Symantec or in Symantec’s name, except as expressly provided in these Terms and Conditions. 13. Assignment Assignment. Eligible Partner may not assign these Terms and Conditions nor the benefits of the Benefit or the obligations contained within it without Symantec’s prior written approval. 14. Importance of Compliance with Secure One T Terms. erms. When Eligible Partner accepts these Terms and Conditions, Eligible Partner is also confirming that Eligible Partner understands that Eligible Partner’s compliance with the Secure One Terms is a requirement to be an Eligible Partner, and to receive the Benefit. Without limiting Symantec’s choice of action under the Secure One Terms, Eligible Partner acknowledges Symantec may terminate these Terms and Conditions, and suspend, terminate or cancel Eligible Partner’s Benefit eligibility: • If Eligible P Partner artner is non-compliant with the ffollowing ollowing sections of the Secure One T Terms erms entitled: – Data Privacy of Customer Data – Data Accuracy and Privacy of Your Data – Interplay with Other Commercial Agreements
