Checklist Proposal evaluations & resolutions1

Preliminary question • Handling possible conflicts of interest: ☑ Report existing conflicts of interest ☑ If necessary, take appropriate measures for addressing conflicts of interest • Compliance with the formal requirements of the decision-making process (e.g. responsibility, quorums etc.)

1. Starting position: definition and analysis of the problem • Clear definition of the problem: ☑ What is to be achieved? ☑ What are the characteristics of a good solution? ☑ Which key factors influence the problem?

2. Consideration of different options for action • Creation of various alternatives (not compulsory, but beneficial) • Elaboration of the options for action ☑ Important financial description of the option for action: financial framework, impact on the asset, financial and profit situation

• Careful evaluation of the options for action ☑ Strengths, weaknesses, opportunities and threats (SWOT analysis) ☑ Discussion of the underlying assumptions, scenarios / sensitivity analysis ☑ Comparison of net present values

3. Decision • Selection of alternative/ decision ☑ Is it clear which steps must now be taken within which approximate timeframe? Has the budget been agreed? ☑ Why did the Board of Directors make this decision? What were the decisive criteria?

• Sufficient recording/ documentation ☑ Decision (primarily approach and financial framework) ☑ Recording of the rationale (primarily information from the evaluation and decisive criteria) ☑ It may be useful to attach the presentations to the protocol ☑ Recording of objections (incl. rationale) or unsuccessful request for additional information from an individual Board Member ☑ Documentation of measures related to conflicts of interest and compliance with regulations
