Ultra Mobile Retailer Incentive – “It’s All About That Ba$e” October 2017 We are excited to announce a Q4’17 Retailer Incentive Program that lets you, our valued Ultra Retailers, earn even more for growing your Ultra Customer Base – Now more than ever, “It’s All About That Base!” See details of the Program Eligibility below along with additional Retailer FAQs. What is the Retailer Incentive? •

Retailers can earn $20 for every incremental addition to your Active Ultra Customer Base. That’s right $20…and that’s on top of our current Ultra compensation!!!

How Do I Become Eligible for the “It’s All About That Base” Retailer Incentive Program? •

All you need to do is be an Active Ultra 1:1 Retailer and have an Active Ultra Customer Base of 100 or more Customers during the start of one of the Measurement Milestones. Don’t have 100 or more Ultra Customers already? Don’t worry, see below of how you can still take part in this Program.

What are the Measurement Milestones? •

The “It’s All About That Base” Retailer Incentive Program will run from 10/1/17 – 12/31/17; however, there will be three Measurement Milestones allowing Retailers to participate and earn eligibility into the Program. o o o



Milestone 1: 10/1/17 – 12/31/17 Milestone 2: 11/1/17 – 12/31/17 Milestone 3: 12/1/17 – 12/31/17

Examples: o Example 1: Retailer A has an Ultra Base of 105 Customers as of 10/1/17. Retailer A is automatically Eligible for the Program and has 90 days to grow his/her Customer Base. If on 11/1, the Customer Base drops to 98 – Retailer A is still in the Program but lost time to build that Base - so it benefits the Retailer to keep growing!!! If by 12/31, Retailer A pushes hard and grows the Customer Base to 135 when the clock strikes midnight – Retailer A would get paid $600, which is $20 x 30 incremental Customer Base additions (the difference between 105 and 135)…and this is in addition to current Ultra compensation! o

Example 2: Retailer B has 90 subs as of 10/1/17 and is not yet eligible but really wants to participate in the Program. By 11/1, Retailer B grows the Customer Base to 105, and is now eligible. Retailer B now has 60 days to continue to grow the Customer Base. If by 12/31, Retailer B grows the Customer Base to 155, Retailer B would get paid $1,100, which is $20 x 55 incremental Customer Base additions over the min Target amount of 100…and this is in addition to current Ultra compensation! (Note: If Retailer B hit 100 in mid-October, they would not yet be eligible until the next Milestone on 11/1 and would need to be at least at 100 on 11/1).

Example 3: Retailer C just became a new Ultra Retailer in October so doesn’t yet have a 100+ Customer Base to be Eligible for the Program. By 11/1, Retailer C grows the Customer Base to 50 – still not eligible for the Program but continues to push to grow the Customer Base to 101 by 12/1. Retailer C is now eligible for the Program with 30 days to continue to grow the Customer Base. If by 12/31, Retailer C grows the Customer Base to 110, Retailer C would get paid $200, which is $20 x 10 incremental Customer Base additions over the min Target amount of 100…and yes, this is in addition to current Ultra compensation!

Note if a Retailer hits 100+ mid-month, they are not automatically Eligible for the Program. In order to be Eligible, the Retailer needs to be at 100+ Customer Base at the beginning of one of the measurement Milestones.

Additional Retailer FAQs below: How do I know If I’m Eligible? You will be notified by email – to the email address that is listed in the Company Profile on the UltraAgents.com Retailer Portal..so please ensure your email address is updated properly! What qualifies as an Active Customer in my Base? An Active Customer is an Ultra Customer that was activated and fully funded through the UltraAgents.com Retailer Portal by an approved Active Ultra 1:1 Retailer using their approved 1:1 Retailer Code. All Active Customers tied to this 1:1 Retailer Code become part of the Retailer’s “Active Base”. The Customer must be in Active status – meaning they have paid for and using their current Ultra Service. Customers in Suspend and/or Cancelled Status do not qualify as an Active Customer are not part of the Base. The Active number can be seen on the Retailer Portal – note this changes throughout the month as new Active Customer are brought on, while others go into Suspend or Cancel (which are removed from Active status). Since my Active Customer Base changes on a daily basis how do I know my Measurement Milestone? We are working to have the Milestone listed on the Retailer Portal (more details to come on that); however, in meantime, your Milestone will be sent via email as part of the Eligibility Notification. Your Ultra MA and Ultra Account Executive will also be sent your Measurement Milestones. What if I already have 100 or more Active Customers in my Base as of 10/1? Congratulations – you are automatically eligible for the incentive as of 10/1 and you will have 90 days to grow your Customer Base for this Program. What if I don’t yet have 100 or more Active Customers in my Base as of 10/1? You still have time to be eligible! All you need to do is get your Active Customer Base to 100 or more by the next Measurement Milestone (see above for details and examples).

Ultra Mobile Retailer Incentive Program October 2017 What if I am considered Eligible in October but fall below 100 Active Customers in November, am I still part of the Program? Yes! Once you are considered eligible, you stay eligible until the end of the Program. This is Awesome! When will I get paid? The program ends on 12/31, with payments paid through your Ultra 1:1 MA by the mid-January 2018. If I activate an Ultra Customer on 12/31 will I get the additional incentive? Yes, the Program will end 12/31 11.59PM. How long does the new Customer need to remain active/What if the Customer cancels the next month? We of course want the Customer to stay with Ultra long-term, but if for some reason a Customer Cancels or goes into Suspend Status, this Customer will no longer be counted as part of the Customer Base. Do Flex Activations count towards the “It’s All About That Base” Retailer Incentive Program? Yes, Ultra Classic and Ultra Flex/Flex Family count towards the Customer Base and part of this incentive program. Note, if a current Customer moves from Ultra Classic to Ultra Flex or Ultra Flex to Ultra Classic – this is considered an intraport and is not considered incremental to the Customer Base.
