WATERFORD FOOTBALL CLUB INC BYLAWS (WATERFORD FC)
Article I– Name and Purpose Section 1 – The name of this organization shall be the Waterford Football Club Inc. Section 2 – Waterford Football Club Inc. is a non-profit corporation and shall operate exclusively for educational and charitable purposes under Section 501(c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code. Section 3 – The organization will educate, foster, promote and advance the cause of soccer in the Town and Village of Waterford, NY and the surrounding Capital District Communites . Our club is committed to providing an opportunity for youth to participate and develop to their potential in a high quality and competitive soccer program that allows individual goals to be achieved.
Article II – Membership Section 1 – Every family, whose son(s) or daughter(s) participate(s) in the Waterford Football Club Inc. travel program, shall be granted membership. Members of the club shall also consist of coaches, trainers, team managers, officers, directors and committee members. Section 2 – Any other individual who desires to join the Waterford Football Club Inc. may acquire membership upon payment of the annual fee of $5.00 per calendar year. Section 3 – Membership entitles one to attend and speak at all meetings of the Board of Directors. Section 4 – Membership and attendance at a minimum of four meetings in the preceding twelve months entitles one to vote for members of the Board of Directors at the annual general meeting in June of each year. Section 5 - The Waterford Football Club Inc. does not discriminate on the basis of color, creed, disability, marital status, national origin, race or sex. Article III – Affiliation, Representation and Uniform Section 1 Affiliation - Waterford Football Club Inc. is an affiliated member of any league sanctioned by CDYSL, United States Youth Soccer Association, United States Soccer
Federation, and Eastern New York Youth Soccer Association(ENYYSA). The Waterford Football Club Inc will maintain membership in good standing within these organizations, and comply with their constitution and by-laws and the rules and regulations. The Waterford Football Club Inc. has close relations with the Waterford Youth Council Soccer Recreation League. Section 2 Representation – The Waterford Football Club Inc. represents the Town and Village of Waterford, NY, but is also open to those outside the District. Section 3 Club Uniform – The Board shall establish a standard color and type of uniform for the club. All players representing the Waterford Football Club Inc. will wear the approved uniform and club colors. Section 4 Logo – The logo of the Waterford Football Club Inc. shall be approved by the Board Article IV – Meetings Section 1 – The annual general meeting of the Waterford Football Club Inc. will be held in June for the transaction of business and elections of members of the Board of Directors, when appropriate. Nominations to the Board of Directors may be made in April, or at the meeting immediately preceding the annual general meeting. Section 2 – The Board of Directors shall meet at least six times a year. The first meeting of the Board of Directors will be immediately following the annual general meeting at which time the officers of the Board of Directors will be elected. Section 3 – Every travel team shall have a representative (coach, assistant coach, manager or parent) in attendance at all general membership meetings. Section 4- The President may call Special Meetings of the Board of Directors upon notice to all members at least seventy-two (72) hours prior to such a meeting. The Secretary shall call a meeting of the Board of Directors within seven (7) days of receipt of written petition of 50 percent of elected members of the Board of Directors. In the event that the President and Vice President(s) are not able to serve, the Secretary shall call a meeting of the Board of Directors for the election of successors. Written notice may be in form of email or group text that includes all Board of Director members. Section 5 – The fiscal year for the Waterford Football Club Inc. shall run September through August. The Budget Committee shall present a proposed budget in April to be voted on by the Board of Directors. Upon approval, the proposed budget shall be adopted in June. In the event the proposed budget is not approved the Budget Committee shall present a second proposal at the June meeting. If the second budget is not approved a contingent budget based on the prior year shall be implemented.
Article V – Board of Directors Section 1 – The general management of the affairs of this organization shall be vested in the Board of Directors. The Boards of Directors shall have power to set any policy, authorize any expenditure, control any property, and take all necessary and proper actions to carry out the purpose of this organization. Section 2 – Members of the Board of Directors will be elected at the annual general meeting, when appropriate, to serve for a two-year term. Section 3 – At the first meeting of the Board of Directors, immediately following the annual general meeting, the Board shall elect the following officers for a two year term commencing the first day of June; a President, First Vice-President, Second VicePresident, Secretary, Registrar, and a Treasurer. These officers must be members of the Board of Directors. Section 4 – All members of the Board of Directors have equal voting rights. A majority vote decides all issues and four members of the Board shall constitute a quorum. For purposes of transacting business and elections of members of the Board of Directors, at the annual general meeting, a quorum is required. Section 5 – If a member of the Board resigns the President, with Board approval, shall appoint a replacement who will serve as a Board member until the next annual general meeting when an election will take place. Section 6 – There are no limits to the consecutive term for any Board Member, Officer or Committee Member. Section 7 - Board Members shall not be responsible for any debts or obligations of the club nor shall Board Members represent that the club is responsible for any obligations of Board Members. Article VI – Officers on The Board of Directors Section 1 – The officers of the organization shall be a President, a First Vice-President, a Second Vice-President, a Secretary, a Treasurer and a Registrar. No member shall hold more than one office at one time. Section 2 – The duties of the officers are as follows: Section 2a President - The President shall preside at all meetings of the Board of Directors, and shall sign all documents in the name of the organization, when authorized to do so by the Board of Directors. The President, together with such other officials as may be appointed by resolution of the Board of Directors, shall have authority to sign checks. The President shall be an ex-office member of all committees, and shall perform all other duties incidental to the office.
Section 2b – The President has the authority to spend up to $500.00 of club monies on equipment or necessary soccer supplies in order to continue the normal functioning of the club without previous Board approval. Section 2c First Vice-President - The First Vice-President shall, in the absence of or disability of the President, perform the duties and exercise the powers of the President. The First Vice-President shall have such powers and perform such duties as may be delegated by the President or prescribed by the Board of Directors. Section 2d Second Vice-President - The Second Vice-President shall in the absence or disability of the President and First Vice-President, perform duties and exercise the powers of the President. The Second Vice-President shall have such powers and perform such duties as may be delegated by the President or prescribed by the Board of Directors. Section 2e Secretary - The Secretary shall keep a record of all meetings of the Board of Directors, and shall attend to any mailing, posting and publication of notices of such meetings. In the absence of any contrary direction, the Secretary shall conduct all correspondence on behalf of the Board of Directors, and shall have charge of such books, records, and other papers as the Board of Directors may direct. Section 2f Treasurer - The Treasurer shall have charge of all monies of the organization and deposit the same in the name of the organization in a depository selected by the Board of Directors, and shall disburse said funds as ordered or authorized by the Board of Directors. The Treasurer shall keep accurate accounts of the receipts and disbursements, submit the books and records to the Board of Directors when requested, and shall perform all other duties and acts incidental to the office of Treasurer. The Treasurer will Chair the Budget Committee. Section 2g Registrar - The Registrar shall be responsible for the registration of all players and for compliance with the registration requirements set forth by the Capital District Youth Soccer League, Eastern New York Youth Soccer Association, and the United States Youth Soccer Association. The Registrar shall attend the annual meeting of the CDYSL registrars and obtain all appropriate forms for permission to travel to tournaments, host tournaments and other similar forms. Section 2h - The Registrar shall ensure that proper parental authorization and a copy of the player’s birth certificate are on file from each player’s parent or guardian for permission to participate in the soccer program, and that a signed and appropriately completed medical authorization form has been submitted authorizing emergency medical treatment for each player by the coach and/or the assistant coach prior to registering any player. The Registrar shall also ensure that fully executed Player and Parent Code of Conduct Forms and a Parent Volunteer Commitment Form are on file for every player in the club. The Registrar shall act to ensure that current email
addresses for all officers, directors, coaches, team managers, and team representatives are provided to the club’s Secretary.
Article VII – Committees Section 1 – The Board of Directors may appoint any and all committees deemed necessary. Committees may include individuals who are not members of the Board of Directors. Committee proposals shall be approved by the Board of Directors. Committees may include but are not limited to Coaching and Development Website Development and Maintenance Fundraising and sponsors Tryouts CDYSL Representative(s) Budget Article VIII – Rules Section 1 – The rules contained in Roberts Rules of Order shall govern the CLUB in all cases to which they are applicable and in which they are not inconsistent with these bylaws. Article IX – Amendment of By-Laws Section 1 – These by-laws can be amended in whole or in part at any regular meeting of the Board of Directors provided that such amendment be approved by a majority vote of the membership of the Board of Directors and that such amendment be submitted in writing at the previous regular meeting. Article X – Dissolution Upon dissolution of the Waterford Football Club Inc., any assets lawfully available for distribution shall be distributed to one (1) or more qualifying organizations described in Section 501 (c)(3) of the Internal Revenue Code (or described in any corresponding provision of any successor statute) which organization or organizations have a charitable purpose which, at least generally, includes a purpose similar to the terminating or dissolving corporation. The organization to receive the assets of the Waterford Football Club Inc. here under shall be selected by the discretion of a majority of the managing body of the Waterford Football Club Inc.
