AUCTION TERMS Sale Method: Property will be offered in 15 tracts. Tracts will be offered individually, in any combination, and as a total unit. Bids on the individual tracts, combination thereof, and the total property may compete. The property will be sold in the manner resulting in the highest total sales prices. All bids are open for advancement during the auction until the Auctioneer announces the property sold or closes the bidding. All bids are subject to seller approval. Auction Date and Site: Wednesday, August 20, 2008, 10:00 a.m., Knights of Columbus Hall, Scott City, Missouri
Buyer Premium: A three (3%) percent Buyer Premium will be added to the final bid price and included in the total real estate contract price that is due and payable from Buyer(s). Broker Cooperation: Farmers National Company will offer compensation to licensed Brokers who register a successful bidder with FNC no later than Tuesday August 12, at 6:00 p.m. (last property showing) using a FNC bidder registration form. Financing: Bidding is not conditional upon financing. Earnest Funds and Payment: 10% down payment on the day of the auction with the balance in cash at closing. The down payment may be made in the form of cash, cashier’s check, personal check, or corporate check, and will be deposited into the Closing Agent’s Escrow account. Closing: Closing to be done within 60 days after the auction. Possession: To be granted no later than December 31, 2008. (Possession of the building and lot surrounding building on Tract 5 will be no later than March 15, 2009.) Taxes: 2008 taxes payable in 2008 are the responsibility of the Sellers. Taxes in 2007 were $2,181.95 Title: Seller will provide evidence of marketable title as a title insurance policy. Survey: Seller shall provide a new survey for any parcel where there is no existing legal description or where new boundaries are created by the parcel divisions of the auction. Seller has sole discretion in determining whether a survey will be provided. Parcel acreages will be estimated based on aerial photographs. Closing prices will be adjusted on a pro-rata basis to reflect any difference between advertised acreages and surveyed acreages. The payment of Surveys will be paid 50% by seller and 50% by buyers involved. Buyer’s split will be based on a per acre basis. Property Condition: The properties are being sold in an “AS ISWHERE IS” condition with no warranties as to physical condition, specific zoning, or available permits. Contract: Immediately following the conclusion of the auction, the high bidder(s) will enter into a real estate purchase contract and deposit with the auctioneer the required 10% earnest money payment. Sellers will provide an owner’s title insurance policy and provide $75 toward the owner’s commitment and policy for owner’s title insurance per contract, with the successful buyers paying the balance. Sale not contingent on buyer financing. Mineral Rights: All remaining mineral rights (if any) owned by sellers will be conveyed to buyer(s). Personal Property: Also to be auctioned are four grain bins (located on Tract #5) will have no access until February 1, 2009 and are to be removed by the buyers by Mach 15, 2009. A fuel storage tank (located on tract #12) will have access by November 1, 2008 and removal by the buyers by December 31, 2008.
