He is obsessed with Golf and is also Vice chairman and Captain at his Waterpolo club. BUSINESS EXCELLENCE INDEX (BEXI) As businesses become bigger many business owners sometimes feel like the ship is sinking, but they can’t find the leak. BEXI was developed as a mini MBA diagnostic tool to identify possible leaks in a business even before the cracks might appear. We have consulted and guided many entrepreneurs to peace of mind by identifying which systems, opportunities as well as internal- and external threats are the next few hurdles to overcome in the road to protect their biggest asset. A minimum business turnover of R20m p.a. is recommended to ensure proper value for money.

BUY AND SELL ARRANGEMENTS When a partner, co-shareholder or a member of a business passes away or becomes disabled the remaining shareholder/s are faced with serious difficulties. In the event of death the deceased’s beneficiaries become the new shareholders. They usually don’t have the knowledge, expertise or inclination to contribute to the business. In the event of permanent disability the remaining shareholder/s are placed in a position where the disabled shareholder can no longer contribute to the business. A properly drafted buy and sell contract, funded by insurance, takes care of this problem. CONTINGENT LIABILITY PROVISION When a business takes out a loan, the shareholders are usually required to sign personal surety. In the event of the death of a shareholder the financial institution who granted the credit is likely to cancel the credit facility. This problem is solved by way of life and disability cover on the lives of shareholders underpinned by a properly drafted contract. KEY MAN COVER In the event of the death or disability of a key person (a person who the business relies on heavily in terms of knowledge, skills and experience) the business is likely to suffer a loss of revenue and profit. Life and disability cover on the life of the key person, owned by and payable to the business will resolve this problem and provide the business with bridging finance funded by themselves through insurance. LOAN ACCOUNT PROTECTION In the event of the death of a shareholder in a business where there is a credit or debit loan account the business is often placed in a difficult position. In the event of a credit loan account (the business owes money to the shareholder) the executor of the deceased estate will demand payment from the business, often at a time when the business can ill afford to do so. A similar situation arises with a debit loan account (the shareholder owes money to the business) where the business claims payment from the deceased estate. Life cover on the life of shareholders with loan accounts will provide all parties with financial peace of mind and ensure the that no liquidity issues in the business will arise. PREFERRED COMPENSATION Retaining competent, productive personnel is a challenge to all businesses. Replacing staff who have left is difficult, costly and time consuming, given the skills shortage in South-Africa. A cash incentive payable to loyal key personnel every 5 years is an effective way of addressing the retention challenge.
