To approve the minutes of CFMU Inc 15B – April 19, 2015 and CFMU Inc 15C – April 26, 2015
Moved by Stegmaier, seconded by Pakkal that the Full Members of CFMU Incorporated approve the minutes from CFMU Inc 15B – April 19, 2015 and CFMU Inc 15C – April 26, 2015 as circulated. Passes Unanimously 2.
To confirm election of the Directors (3) of the Corporation for 2015-2016
Moved by Mutoigo, seconded by McDougall that the Full Members of CFMU Incorporated confirm the election of Ehima Osazuwa, Giuliana Guarna, and Daniel D’Angela as Directors of the Corporation for 2015-2016.
Gillis asked about Osazuwa being part of the directors. Guarna responded that he can be a board member, but not the president of the corporation.

Moved by D’Souza, seconded by Brodka that the Full Members of CFMU Incorporated confirm the election of officers as follows for 2015-2016: Giuliana Guarna as President, Ehima Osazuwa as Vice-President, and Daniel D’Angela as Secretary-Treasurer. In Favour: 21 Opposed: 0 Abstentions: 3

To appoint the auditors for the Corporation for 2015-2016
Moved by Enriquez, seconded by Hsu that the Full Members of CFMU Incorporated approve the appointment of KPMG LLP (Canada) as the Corporation’s auditors for 2015-2016. In Favour: 21 Opposed: 0 Abstentions: 3 Abstained: Ibe, Yazdankia, Jama Motion Passes 5.
To delegate the setting of the remuneration of the auditors to the Board of Directors
Moved by Oliver, seconded by Krause that the Full Members of CFMU Incorporated delegate the setting of remuneration of the auditors to the Board of Directors.
Gillis asked what the purpose of this was. D’Angela responded that they are just approving that KPMG will be the auditors for the year and that they will be delegated the process of making sure that they are paid. He explained the reasoning behind it was so that they don’t have to bring the final bill of auditing to the new SRA. He added that it’s in the admin budget line for Financial Services. Gillis asked why this wasn’t coming through to the SRA. D’Angela responded that this was more efficient, and it guarantees that the auditors will be paid. He added that this is the same process they do every year. Osazuwa added that by approving the budget at the beginning of the year meant that the Full Members also approved the amount being paid to KPMG.

Moved by Enriquez, seconded by Yazdankia that the Full Members of CFMU Incorporated confirm the appointment of Jim Marino as a Community Director to the CFMU Board of Directors for a two-year term.
D’Angela explained that he has a show on CFMU, and it’s been running for more than two decades.

Moved by D’Angela, seconded by Oliver that the Full Members of CFMU Incorporated confirm the appointment of Kristin Archer as Laura Howden’s replacement as a Community Director to the CFMU Board of Directors for the duration of the two-year term.
Guarna explained that she was the blogger in charge of ‘ihearthamilton’ and is a McMaster graduate.
