BYLAWS Dodge County Wildcats Booster Club will operate under Section 501(c)(3) of the Internal Revenue Service as an exempt, non-profit organization. This status will assist in the fundraising by assuring that contributors can fully deduct donations. Wildcats Booster Club will be governed by the Board of Directors which will meet nd once monthly (unless meeting is canceled due to lack of quorum) on the 2 Monday of the Month, and additional times as needed to carry out the mission and purpose. Wildcats Booster Club will obtain funding via various fundraising activities and game day receipts including ticket sales. The Booster Club will work with the school districts and other organizations in helping provide athletic opportunities for high school students. The success in the Wildcats Booster Club in carrying out its mission will hinge on its ability to raise the need funding from year to year, and has adopted a mandatory fee, fundraiser and volunteer program. Wildcats Booster Club will consist of a President, Vice-President, Secretary, and Treasurer (which are Board of Directors and have two year terms not to exceed 2 terms in any one position) and Directors. All current players’ parents are considered Directors if they choose to participate by attending meetings. Only Directors and Board of Directors will have motion and voting authority. You must have a current player to serve on the Board of Directors. A quorum will require at least 2 Officers and 3 Directors. The Board of Directors may create or dissolve positions as necessary. All meetings are open to the public, and any member or visitor can be asked to leave if they are deemed to be disruptive, rude, or threating to any member of the Booster Club. Officers and other directors can be removed from the board by majority vote after usual motioning and discussion procedures. Wildcats Booster Club will maintain a mailbox #344 at the Kasson Post Office, and a checking account at Kasson State Bank. The President and Secretary will be on the signature card for the account. The president at the request of any board member can approve expense disbursement for minor expenses (less than $200) and budgeted expenses such as ice bill, or other budgeted items without approval of board. Non-budgeted major items need majority approval of the board at meetings. Directors may be delegated or assigned to assist in specific areas. The first organizational meeting was held September 13, 2000 at Kasson American Legion and was chaired by Bob McDermott, the first order of business was to establish board, elect officers, mission statement, bylaws, and financial goals. Elections will be held in April each year and any Director can apply. Officers and their duties President: The president shall: Preside at all meetings of the organization; provide meeting agenda; appoint all committees not otherwise provided for; carry out assignments and instructions given to him/her by vote of this organization; exercise supervision over the organization and all its activities; sign letters or documents necessary to carry out the will of the organization; perform such duties as customarily pertain to the office of the President; can make motions and vote; coordinate activities between the club, the teams, schools, and other persons/entities as needed. Vice-President: can make motions and vote; serves as a liaison between our club and the youth hockey. Oversees the fundraising committees, and provides guidance and reports to the president of such activities. Serves in the capacity of president when delegated to, and learns the duties associated with it. Secretary: The secretary shall keep a record of the proceedings of all meetings by taking notes as the basis for preparing the minutes, and agendas; prepare and certify the accuracy of the minutes; present the minutes at each new meeting for correction and approval unless excused by motion from the floor; conduct correspondence written or electronic to members to disseminate information; and maintain historical information pertinent to the organization and its discussions. Treasurer: The treasurer shall: collect all monies generated by the clubs activities, and fundraising committee members; govern and require a complete accounting of all money generated by any committee of the organization; be empowered to appoint a responsible in each committee to act on behalf of the treasurer; maintain a checking account in the name of the organization; maintain a ledger of all financial activity; render a written account at each board meeting of the receipts and disbursements to date; pay the bills of the organization in a timely manner upon approval of the board of directors; prepare an annual budget for review rd and approval of the board; and submit all records needed for 3 party auditing.
